Licensed Intellectual Property definition

Licensed Intellectual Property means Intellectual Property licensed to the Company pursuant to the Company IP Agreements.
Licensed Intellectual Property means any and all Intellectual Property owned by a third party and licensed or sublicensed (or purported to be licensed or sublicensed) to either the Company or any of its Subsidiaries or for which the Company or any of its Subsidiaries has obtained a covenant not to be sued.
Licensed Intellectual Property has the meaning set forth in Section 3.12(a).

  • UniServices may, and may permit the University to, include information relating to the Licensed Intellectual Property Rights (including the Licensed Know-How) in any academic publication or presentation (including student thesis) (Publication) provided that where any such information has not previously been publicly disclosed, UniServices must submit the proposed Publication to the Licensee for review at least 60 days before the intended date for submission for publication.

  • With effect from the Start Date, UniServices grants to the Licensee an exclusive licence to commercialise, sublicence and otherwise commercially exploit the Licensed Intellectual Property Rights, including the rights to make, hire, sell, otherwise dispose of, offer to make, hire, sell or otherwise dispose of, use, import or keep for the purpose of doing any of the foregoing, Licensed Products in the Field in the Territory for the term of this Agreement.

  • Despite this clause 2, UniServices retains the right (including the right to permit the University and its personnel) to do any act under the Licensed Intellectual Property Rights for academic research (including non-commercially funded research) and teaching purposes.

  • The Licensee must, and must use reasonable efforts to procure that any Sublicensees, use commercially reasonable efforts to develop and commercialise the technology under the Licensed Intellectual Property Rights, within the scope of the terms of this Agreement.

  • Each party must notify the other party promptly on becoming aware of any suspected infringement of the Licensed Intellectual Property Rights by a third party.


More Definitions of Licensed Intellectual Property

Licensed Intellectual Property means all Intellectual Property that BSC or a Seller is licensed to use pursuant to the Transferred IP Agreements.
Licensed Intellectual Property means all Intellectual Property owned by a Person other than the Company Group which one or more Company Group Members has or purports to have the right to use pursuant to a license or other Contract.
Licensed Intellectual Property has the meaning given in Section 5.11(c).
Licensed Intellectual Property means the Licensed Patent Rights and the Licensed Know-How.
