Knowledge of the Seller definition

Knowledge of the Seller means the actual knowledge of the Owner Member, [REDACTED] or [REDACTED], with respect to the matter in question, and such knowledge as any of the foregoing reasonably should have obtained upon diligent investigation and inquiry into the matter in question.

Knowledge of the Seller means the actual knowledge of (i) the chairman of the board of directors of the Seller, (ii) the chief executive officer of the Seller or (iii) the chief financial officer of the Seller, in each case, as such positions are held as of the date hereof, in their capacity as office holders of the Seller.

• No counterparty to any Existing In-License has, and, to the Knowledge of the Seller, no counterparty to any In-License has assigned all or part of such counterparty’s rights under the Existing In-License to any other Person.

Knowledge of the Seller means any matter, fact, or thing that is, as of the date hereof or the Closing Date, actually known to the Seller.

Knowledge of the Seller or similar terms used in this Agreement mean the actual knowledge, after reasonable inquiry, of the Persons listed in Exhibit 1.01(c) as of the Signing Date and as of the Closing (or, with respect to a certificate delivered pursuant to this Agreement, as of the date of delivery of such certificate).
