The Intellectual Property has not been adjudged by a court of competent jurisdiction to be invalid or unenforceable, in whole or in part, and to the Company’s Knowledge, the Company is unaware of any facts which would form a reasonable basis for any such adjudication.
Additionally, none of the Company, its employees, officers, directors, or, to the Company’s Knowledge, independent contractors, affiliates or agents, has been excluded, suspended or debarred from participation in any U.S. federal health care program or human clinical research or is subject to a governmental inquiry, investigation, proceeding, or other similar action that could reasonably be expected to result in debarment, suspension or exclusion.
To the Company’s Knowledge, none of the Company owned Intellectual Property or technology (including information technology and outsourced arrangements) employed by the Company has been obtained or is being used by the Company in violation of any material contractual obligation binding on the Company or any of its respective officers, directors or employees or otherwise in violation of the valid rights of any persons.
To the Company’s Knowledge, there are no material defects in any of the material patents or patent applications included in the Intellectual Property.
Except as disclosed in the SEC Reports, and except as would not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect, the Company and, to the Company’s Knowledge, its directors, officers, employees, independent contractors, agents and affiliates are, and at all times have been, in compliance with all applicable Health Care Laws.
