The Purchaser intends to sell the Non-Registered Certificates to JPMS, MS&Co., WFS, BofA Securities, Academy and Drexel (collectively in such capacity, the “Initial Purchasers”) pursuant to a certificate purchase agreement, dated as of the date hereof (the “Certificate Purchase Agreement”), among the Purchaser, JPMCB and the Initial Purchasers.
