Hotel Project definition

Hotel Project means the design, development and construction in accordance with the Construction Contract and the Diamond Construction Contract of a luxury hotel resort, retail and entertainment complex on land leased to the Company under the Land Concession Contract and the ownership, operation and maintenance thereof by the Company but shall not include the design, development, construction, ownership, operation or maintenance by the Company of a casino pursuant to the Concession Contract nor the purchase of any associated gaming equipment or utensils.

Hotel Project means that component of the Private Improvements that may consist of 27 the design, development, construction, completion and operation of those buildings, structures, facilities 28 and other improvements to be constructed and installed on a Parcel to be used as a hotel and uses 29 appurtenant thereto.

Hotel Project means a Development Project within which a building proposed to be constructed is either a Hotel or a residential or mixed-use building being developed in conjunction with a Hotel that will share common area and amenities with the Hotel. Notwithstanding the foregoing, if a Development Project includes multiple buildings, one of which is a Hotel, and one or more other buildings in the Development Project do not share common area or amenities with the Hotel and are not otherwise affiliated with the Hotel, such other building(s) shall be considered a separate Development Project for purposes of this RMA and shall be categorized as a Low-Rise Project, Mid-Rise Project, Tower Project, or Townhome Project based on the definitions set forth herein. If a Hotel Project is constructed on a Parcel that is owned by TIDA, such Parcel shall be treated as a Hotel Project, not Public Property, for purposes of this RMA.

• Funds shall be disbursed from the Construction Fund to the Developer, the Owner, the City and third parties in direct payment of pre-development expenses within the Hotel Project Improvement Budget that were paid or advanced by such payees upon documentation required by the Owner (as invoiced with appropriate backup and in form and detail meeting the City’s standard payables policy).

• The Developer shall provide the Owner Representative with Notice that it seeks any change to the Hotel Project Improvements Budget within five (5) calendar days after determining that it believes such a change to be necessary and that it seeks such change.

• If funds remain in the Construction Fund after the completion of the Project and the payment of all Hotel Project Improvement Costs within the Hotel Project Improvement Budget pursuant to the terms hereof, then such funds shall thereafter be the exclusive property of the Owner and shall be used by the Owner for the purpose of paying amounts due pursuant to the terms and provisions of Section 14.6 of this Developer Agreement.

• The Developer shall be the generator of any construction wastes resulting from any Hotel Project Improvements Work in accordance with Environmental Laws.

• The Developer shall be and remain a business entity chartered in, or qualified to do business in, the State of Texas during the period of designing, developing, constructing, equipping, furnishing, and fully completing the Premises and the Hotel Project Improvements and completing the Project pursuant to the terms hereof.

More Definitions of Hotel Project

Hotel Project means the improvements to real property and any related personal property, consisting of the Headquarters Hotel, parking, convention center entertainment-related facilities, the Entertainment Center and other related and ancillary facilities.

Hotel Project means the additional buildings, facilities and other improvements to be constructed, demolished, removed, or replaced on a portion of the Property pursuant to this Agreement, consisting of up to sixty-seven thousand (67,000) square feet of building area for the construction of a three story, one hundred twenty-seven (127) room hotel, together with other onsite and offsite improvements as permitted by the CMC, General Plan and this Agreement.

Hotel Project means the new hotel tower (and, if the new hotel tower is constructed on the Casino Premises, the reconstructed or new porte cochere) to be constructed as a component of the Capital Improvement Project pursuant to Section 10.2 of this Lease.

Hotel Project is defined in the Recitals to this Agreement.
