Financing Fees definition

Financing Fees means, in connection with any Incurrence of Indebtedness, the aggregate amount of fees (including upfront, commitment and ticking fees and original issue discount), underwriting discounts, commissions and other costs and expenses Incurred in connection therewith, as well as, in the case of any Incurrence of Refinancing Indebtedness, any penalties or premiums (including reasonable tender premiums), defeasance and satisfaction and discharge costs, accrued interest and other similar costs and expenses Incurred in respect of the Indebtedness being Refinanced.
Financing Fees means the Financing Fee (Properties) and the Financing Fee (Hotels);
Financing Fees means the $3.8 million fee payable to Citigroup Global Markets Inc., Barclays Capital Inc., and Credit Suisse Securities (USA) LLC related to the Buyer Equity Financing, plus all out-of-pocket costs, fees, and expenses incurred by Contributor or its Affiliates related to marketing the Transactions that will not otherwise be subject to the COMA, plus any amounts payable by Buyer or any of its Subsidiaries in respect of all out-of-pocket costs, fees, and expenses incurred by or on behalf of Buyer or any of its Subsidiaries related to obtaining a new credit facility for Buyer or any of its Subsidiaries during the Interim Period.

Financing Fees means (i) investment banking fees, (ii) fees of financing institutions with respect to the Debt Financing required for the Closing that are incurred and paid by Buyer, such as commitment fees and ticking fees, in each case, not to exceed the amount of such fees as set forth in engagement letters and fee letters, complete copies of which have been delivered to Seller prior to the date hereof and (iii) legal fees, consulting fees, accounting fees and other professional fees of such financial institutions.
