Facility Property definition

Facility Property means the portion of the Land on which a Facility is located or will be constructed, the legal description of which is set forth beneath the applicable Facility Name on Exhibit A, the Improvements on such portion of the Land, the Related Rights with respect to such portion of the Land, and Landlord’s Personal Property with respect to such Facility.

Seller agrees that no assignment of this PPA by Seller and no sale or conveyance of the Facility Property by Seller to any third party shall be made unless, in either case, (i) the assignment or conveyance otherwise complies with the provisions of this PPA (including, but not limited to Article 19), and (ii) the assignee or transferee assumes Seller’s obligations under the Option Agreement and the assignment or conveyance does not materially impair Company’s rights or ability to exercise the Option in accordance with the terms of the Option Agreement.
