Exercise Periods definition

Exercise Periods means the periods during which, in accordance with Article 6.2 of this Plan, the Warrant Holder can exercise the Warrants attributed to him/her/it so as to acquire Shares in the Company.
Exercise Periods during an "Offering Period" to employees eligible in accordance with Paragraph 3 hereof.
Exercise Periods means the period beginning on the 1st day of January 2002 and ending on the 31 st day of January 2004;

  • It is the responsibility of the Beneficiary to timely seek information from the Company relating to the establishment of Exercise Periods.

  • Warrants must be exercised by the Owner sending a written request to the Board of Directors of the Company for the issue of new shares within the Exercise Periods.

  • All rights of the Optionee in the Option to the extent not exercised shall terminate at the expiration of the Exercise Period(s) herein defined or, if sooner, 18 months after the stockholders of the Company shall have approved an agreement to merge or consolidate with or into another corporation (and the Company is not the survivor of such merger or consolidation) or an agreement to sell or otherwise dispose of all or substantially all of the Company's assets (including a plan of liquidation).

  • The Plan shall generally be implemented by a series of Exercise Periods, each of which lasts approximately six (6) months.

  • The Committee shall have the power to make changes to the duration and/or the frequency of Exercise Periods with respect to future offerings if such change is announced at least five (5) days prior to the scheduled beginning of the first Exercise Period to be affected.

  • The Exercise Periods shall be notified by or on behalf of the Company to the Beneficiaries.

More Definitions of Exercise Periods

Exercise Periods. ' means the period(s) during which an option may be exercised during the option period, being (i) the 30 day period (excluding the anniversary days) immediately after the first and second anniversary days from the date of grant or such other date as determined by the Board, if the last day of that 30 day period is not a business day, such period shall include the first business day immediately thereafter and (ii) the 30 day period (excluding the Maturity Date) immediately after the Maturity Date, if the last day of that 30 day period is not a business day, such period shall include the first business day immediately thereafter, or (iii) such other period(s) as may be determined by the Board;
Exercise Periods means the periods of approximately six (6) months during which an option granted pursuant to the Plan may be exercised, which shall commence each year on January 31st (the "First Offering Date") or July 31st (the "Second Offering Date") and shall terminate on the last Trading Day of the periods ending six months later; provided, however, that the first Exercise Period shall begin on the effective date of the Company's initial public offering and shall end on the next First Offering or Second Offering Date which is at least six months following such initial public offering. The duration of Offering Periods may be changed pursuant to Section 4 of this Plan.
Exercise Periods. Notwithstanding the Equity Definitions, in respect of Exercisable Options with a particular Conversion Date (each as defined below), the Exercise Period shall be the period commencing on and including the Conversion Date for such Exercisable Options to and including the Exchange Business Day immediately following such Conversion Date. Exercisable Options: In respect of any date on which one or more holders of Convertible Notes properly surrenders to Counterparty a Convertible Note for conversion (a “Conversion Date”), a number of Options equal to the lesser of (i) the remaining Number of Options as of the relevant Exercise Date and (ii) the number of Convertible Notes properly surrendered to Counterparty for conversion on the relevant Conversion Date.

Related to Exercise Periods

  • Exercise Period means the period commencing on the Issuance Date and ending on 5:00 p.m. eastern standard time on the five-year anniversary thereof.

  • Option Exercise Period has the meaning set forth in Section 5.3(c).

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Pre-Closing Periods means any taxable period ending on or before the Closing Date.

  • Exercise Time means 5.00 p.m. (local time in Frankfurt am Main, Germany);

  • Purchase Period means a period of time specified within an Offering, generally beginning on the Offering Date or on the first Trading Day following a Purchase Date, and ending on a Purchase Date. An Offering may consist of one or more Purchase Periods.

  • Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;

  • Exercise Price means the initial exercise price or the adjusted exercise price, depending on the context.

  • Date of Exercise means the date on which the Holder shall have delivered to the Company: (i) the Exercise Notice (with the Warrant Exercise Log attached to it), appropriately completed and duly signed and (ii) if such Holder is not utilizing the cashless exercise provisions set forth in this Warrant, payment of the Exercise Price for the number of Warrant Shares so indicated by the Holder to be purchased.

  • Option Grant Date means, as to any Stock Option, the latest of:

  • SARS means the South African Revenue Service.

  • Initial Offering Period means the initial period during which a Series of the Trust will offer its Shares prior to the commencement of investment operations of such Series;

  • Option Exercise Date has the meaning specified in Section 2.1.
