Convertible Notes definition

Convertible Notes has the meaning set forth in the Recitals.
Convertible Notes means the 2.75% Convertible Senior Notes of the Borrower due 2022 issued pursuant to the Convertible Notes Indenture.
Convertible Notes means indebtedness of the Company that is optionally convertible into Capital Stock of the Company (and/or cash based on the value of such Capital Stock) and/or indebtedness of a Subsidiary of the Company that is optionally exchangeable for Capital Stock of the Company (and/or cash based on the value of such Capital Stock).

  • The Warrants and Convertible Notes shall be exercisable as provided in each of the form of Notice of Exercise included in the Warrants and the form of Notice of Conversion included in the Convertible Notes, respectively, and as set forth the totality of the procedures required of the Purchasers in order to exercise the Warrants or convert the Convertible Notes.
