Estimated NAV definition

Estimated NAV means a per share estimated value of the Company’s shares determined by the Manager’s internal accountants based on valuations of the assets and liabilities of the Company derived from a methodology that conforms to standard industry practice and, if the Company’s Board deems it necessary, individual appraisal reports of the underlying real estate assets provided periodically by an Independent Expert.
Estimated NAV means the unaudited Net Asset Value of the Fund as at December 31, 2009, as estimated in good faith by Stillwater, all in accordance with this Agreement.
