Cloud Service definition

Cloud Service means any distinct, subscription-based, hosted, supported and operated on-demand solution provided by SAP under an Order Form.

Cloud Service means any distinct, hosted, supported and on-demand solution provided by SAP, an SAP Affiliate or an authorized reseller of SAP under an Order Form for Cloud Services.

Cloud Service means any distinct on demand solution provided and supported by SAP under an Order Form.

• If the System Availability is less than 99.9%, and if Customer has fulfilled all of its obligations under the Agreement including this Exhibit, Lyniate will provide Customer with a Service Credit applied to that month’s Monthly Cloud Service Fees in which the failure to meet this System Availability Objective has occurred.

• Where the Service runs on Netsuite, Company shall escalate cases to NetSuite support if the error in the Services is suspected to be caused by an issue in the NetSuite Cloud Service.

• To protect the performance and integrity of the Cloud Platform, Customer shall, in respect of Public Cloud Service, ensure that its use of Compute Capacity shall be fair and reasonable.

• In case the Support Case relates to the NetSuite Cloud Service, Company will create a case with NetSuite support and communicate with Customer about resolution progress on a best effort basis.

• Subject to timely payment of the applicable fees and compliance with the terms of the Agreement, Lyniate grants to Customer for the limited, non-transferable, non-exclusive (i) access and use of the Cloud Service set forth in a Schedule; and (ii) the license to run and install those off-line Lyniate Software Components provided by Lyniate, if any, that are part of the Cloud Service solely as necessary and intended for use in conjunction with the Cloud Service.

More Definitions of Cloud Service

Cloud Service or “SAP Cloud Service” means any distinct, subscription-based, hosted, supported and operated on-demand solution provided by SAP under an Order Form, including the Tools provided by SAP to Provider in connection with this Agreement.

Cloud Service means any subscription based, hosted, supported and operated on demand solution provided by SAP, or a SAP SE Affiliate or a reseller of SAP SE or an SAP SE Affiliate, under a Cloud Service Order Form.

Cloud Service means any subscription-based, SAP hosted, supported and operated on- demand solution provided by SAP on behalf of the Partner to the Customer under the Cloud EULA Acceptance Form.

Cloud Service the Celonis software-as-a-service platform, the On-premise Component (if applicable), and the online supporting documents, as further described in the Documentation, but excluding Non-Celonis Applications and any links to third-party products or services contained in the Cloud Service.

Cloud Service means any distinct subscription based, hosted, supported and operated on demand solution provided by SAP under a Cloud Service Order Form.

Cloud Service means, collectively, the NetSuite online business application suite (and any optionally procured modules) (the “NetSuite Service”), the OpenAir online Professional Services Automation application suite (and any optionally procured modules) (the “OpenAir Service”) and/or the Bronto products and Services (the “Bronto Service”) as described in the applicable User Guides that is procured by Customer from Oracle in the Estimate/Order Form and any subsequent Estimate/Order Form from time to time, including associated offline components, but excluding Third Party Applications, Support Services and Professional Services.

Cloud Service or “Cloud Services” means Company’s branded offerings of cloud-based online services and associated cloud-based API (application programming interfaces) made available by Company, as updated, enhanced or otherwise modified from time-to-time. Cloud Service excludes Subscriber Data and Third Party Content.
