Examples of Business Intellectual Property in a sentence
Except as set forth in Schedule 4.13(a), Sellers own or have valid rights to use each item of Registered Business Intellectual Property and each trademark related to the Business that is not Registered, free and clear from all Liens, and no item of Registered Business Intellectual Property or trademark related to the Business that is not Registered is the subject of any exclusive outbound license of Intellectual Property.
No such item of Registered Business Intellectual Property, or any trademark related to the Business that is not Registered, is subject to any outstanding order, judgment, or decree restricting its use by Sellers or adversely affecting each Seller’s rights thereto.
Each item of Registered Business Intellectual Property is subsisting (and, to the Knowledge of Sellers, no such fees or filings with respect to any Registered Business Intellectual Property are due within ninety (90) days after the date of the Closing) and is, to the Knowledge of Sellers, valid and enforceable.
To the extent any Patents included in the Business Intellectual Property no longer remain in force but may be revived under applicable Law, Sellers shall, and shall cause their respective Subsidiaries to, provide all reasonable assistance to enable Buyer to revive such Patents at Buyer’s request.
Subject to the Sellers’ execution and delivery of the IP Assignment, Buyer shall be responsible for preparing and filing all instruments and documents necessary to effect the assignment of the Business Intellectual Property to Buyer and its Affiliates; provided, that Sellers shall, and shall cause their respective Subsidiaries to, provide all reasonable assistance, including executing such additional instruments and documents, as may be reasonably required to effect and record such assignment.
