Asset Value definition

Asset Value has the meaning assigned to such term in the Pricing Side Letter.
Asset Value means, with respect to any property or asset of any Consolidated Company as of any particular date, an amount equal to the greater of (i) the then book value of such property or asset as established in accordance with GAAP, and (ii) the then fair market value of such property or asset as determined in good faith by the board of directors of such Consolidated Company.

  • If the resulting Net Asset Value per Share after the Performance Allocation had been less than ten dollars ($10.00), which was the Net Asset Value per Share floor as previously defined, the Manager would not have qualified for the Performance Allocation for that period.

Asset Value at any date means the fair market value of assets in a Series representing the purchase price that a willing buyer having all relevant knowledge would pay a willing seller for such assets in an arm’s length transaction, determined by the Managing Member in its sole discretion.
