Resignation Termination of Employment Agreement. Notwithstanding ---------------------------------------------------- anything to the contrary which may be contained in the Employment Agreement, the parties hereby acknowledge and agree that, effective as of August 13, 2007:
Resignation Termination of Employment Agreement. Effective as of the Effective Date, Employee hereby tenders, and the Company hereby accepts, the Employee’s resignation as Executive Vice President, General Counsel and Secretary of the Company. As of the Effective Date, the Employment Agreement shall automatically terminate and be of no further force and effect, and neither the Company nor Employee shall have any further obligations thereunder; provided, however, that the provisions of Section 6 (Non-Competition, Non-Solicitation and Confidentiality and Non-Disclosure) and Section 7 (Indemnification) of the Employment Agreement shall survive such termination of the Employment Agreement.
Resignation Termination of Employment Agreement. (a) This Agreement shall reflect Employee's resignation as an officer and employee of Employer effective as of August 21, 1998. Employer and Employee mutually agree to refer to Employee's termination of service as Employee's retirement.
Resignation Termination of Employment Agreement. Your resignation from all positions held with MSN and MSNH is effective October 1, 2007. Effective as of October 1, 2007, the Amended and Restated Employment Agreement dated as of August 20, 2001 between MSN, MSNH and you, as amended as of October 26, 2001 (collectively, the “Employment Agreement”), is terminated and shall have no further force and effect, except for those provisions described in Section 6(j) of the Employment Agreement as surviving termination of your employment (which include, without limitation, the restrictive covenants set forth in Section 7 of the Employment Agreement).

On the Effective Date and provided this Agreement has been properly executed and delivered to Adelxxx xx the Corporation, Adelxxx xxxll resign as an officer of the Corporation and the Employment Agreement shall automatically terminate without any further action or obligation on the part of any of the parties hereto and no party will have any further right or obligation under the Employment Agreement, provided that Adelxxx xxxl remain bound by Sections 5(a), 5(b) and 5(d) of the Employment Agreement.
Resignation Termination of Employment Agreement. (a) Effective as of the close of business on the date hereof (the “Resignation Date”), you hereby voluntarily resign from all offices and titles you may hold with the Company and its affiliates as of the Effective Date. For purposes of this Agreement, “affiliates” shall have the meaning set forth in Rule 12b-2 promulgated under the Securities Exchange Act of 1934, as amended.
Resignation Termination of Employment Agreement. Executive is retiring as Chief Executive Officer of the Company, effective on the Effective Date, but will remain on the Board of Directors of the Company. The Company and Executive hereby terminate the Employment Agreement, effective on the Effective Date, and neither the Company nor Executive shall have any further rights or obligations under the Employment Agreement, subject to the terms of Section 2 hereof.

Except as expressly provided in this Agreement, from and after the Effective Time, Executive shall not be entitled to receive any further wages, compensation, stock options or benefits arising pursuant to the Employment Agreement or in connection with his employment relationship with the Company or any of its subsidiaries, and Executive shall not be 2 entitled to any post termination wages, compensation or benefits (including, without limitation, severance pay, vacation pay or sick pay).
Resignation Termination of Employment Agreement. Upon the Effective Date of this Agreement, Lanhxx xxxll resign from his seat on the Company's Board of Directors and from his position as President and Chief Operating Officer of the Company, and from any and all of his positions as director or officer of any subsidiaries of the Company. The Employment Agreement entered into between the Company and Lanhxx xxxed January 23, 1997, is hereby terminated and this Agreement shall supersede such Employment Agreement in all respects, unless otherwise excepted herein.
