Railroad Tracks. Refinery Company and Fertilizer Company currently share rail services on railroad tracks that traverse the Refinery premises in part and the Fertilizer Plant premises in part, some of which railroad tracks are owned by Union Pacific and operated by South Kansas & Oklahoma Railroad, Inc., or their successors (“Main Tracks”), some of which railroad tracks are owned and operated by Refinery Company (“Refinery Tracks”), and some of which railroad tracks are owned and operated by Fertilizer Company (“Fertilizer Tracks”). The Parties agree to coordinate and cooperate to ensure that each Party has access to the Main Tracks, the Refinery Tracks, and the Fertilizer Tracks for the receipt of Feedstocks and delivery out of products, and to pay a mutually agreed prorated share of the costs and expense of maintaining such railroad tracks based upon an approximation of actual use. Each Party shall use its best commercially reasonable efforts to move railroad cars from the Main Tracks to the Refinery Tracks or the Fertilizer Tracks as soon as possible following arrival of such railroad cars. Each Party shall utilize such Party’s own railroad sidings for the loading and unloading of any products or other items by such Party. Railroad track sharing between the Parties shall also be subject to and in accordance with the railroad trackage easements provided for in the Easement Agreement.

Railroad Tracks. The Project is located near railroad tracks and, while the use of such tracks is currently limited, regular future use may restart, which use may cause considerable noise and other inconveniences.

Railroad Tracks. Approximately 26 miles of railroad track remain at the OARB. In addition, former railroad track ballast is covered with imported gravel in the former Xxxxxxx Railyard. Typical contamination in old railyards can include petroleum hydrocarbons, PCBs, metal and asbestos, solvents, benzene, toluene, ethylbenzene, and xylenes (BTEX), and other VOCs. Additionally, surface soil in railyards may become contaminated with creosote, pentachlorophenol (PCP) or chromated copper arsenate (CCA) that originate from railroad ties. Herbicides sprayed near tracks may also be present. Testing at OARB indicates that benzo(a)pyrene, lead, and arsenic were detected at concentrations greater than remediation goals in some track locations. The railroad tracks at the OARB will be removed or replaced during redevelopment. Protocols for inspecting and testing potentially contaminated railroad track sub-ballast have been established in the RMP. Under the proposed remedial action, sub-ballast found during redevelopment to contain COCs greater than remediation goals will be excavated for disposal at an off-site permitted facility or, if specifically approved by DTSC, may be incorporated into the on-site railroad beds upon which new tracks will be laid and covered with clean ballast.
Railroad Tracks. It is expressly understood and agreed that the rights in the Access Areas granted to Cadiz RE hereunder shall not preclude or interfere with the full, free and complete use of the Property for the installation of railroad tracks thereon and the operation of locomotives, trains and cars thereover and for any and all other railroad purposes. ARZC shall have the right to construct additional tracks, improvements or provide other pipeline and occupancies that cross over the Access Areas in locations that are reasonably acceptable to ARZC and Cadiz RE, so long as such additional improvements are constructed in a manner to mitigate, to the extent practicable, any interference with the Facilities. No additional railroad tracks shall be constructed on top of the area where the Facilities are located, running longitudinal with the Facilities for any extensive distance. Notwithstanding any provisions contained in this Section to the contrary, Cadiz RE’s contractor’s or other agents and/or representatives must enter into a Right of Entry Agreement in the form attached hereto as Exhibit “C” and incorporated herein by reference, prior to entering onto the Access Areas for any construction work or ground disturbing activities.

  • Loading RPMG shall schedule the loading and shipping of all outbound corn oil purchased hereunder, but all labor and equipment necessary to load trucks and rail cars and other associated costs shall be supplied and borne by Producer without charge to RPMG. Producer shall handle the corn oil in a good and workmanlike manner in accordance with RPMG’s written requirements and normal industry practice. Producer shall maintain the truck and rail loading facilities in safe operating condition in accordance with normal industry standards and shall visually inspect all trucks and rail cars to assure (i) cleanliness so as to avoid contamination, and (ii) that such trucks and railcars are in a condition suitable for transporting the corn oil. RPMG and RPMG’s agents shall have adequate access to the Ethanol Facility to load Producer’s corn oil on an industry standard basis that allows RPMG to economically market Producer’s corn oil. RPMG’s employees shall follow all reasonable safety rules and procedures promulgated by Producer and provided to RPMG reasonably in advance and in writing. Producer shall supply product description tags, certificates of analysis, bills of lading and/or material safety data sheets that are applicable to all shipments. In the event that Producer fails to provide the labor, equipment and facilities necessary to meet RPMG’s loading schedule, Producer shall be responsible for all costs and expenses, including without limitation actual demurrage and wait time, incurred by RPMG resulting from or arising in connection with Producer’s failure to do so.

The parking rights provided to Tenant pursuant to this Article 23 are provided solely for use by Tenant’s own personnel visitors and invitees and such rights may not be transferred, assigned, subleased or otherwise alienated by Tenant without Landlord’s prior approval, except in connection with an assignment of this Lease or sublease of the Premises made in accordance with Article 14 above.

Information pertaining to underground storage tanks and underground storage tank removals of which the D.C. Government has received notification is on file with the District Department of the Environment, Underground Storage Tank Branch, 00 X Xxxxxx, X.X., Xxxxx Xxxxx, Xxxxxxxxxx, X.X., 00000, telephone (000) 000-0000. District’s knowledge for purposes of this Section shall mean and be limited to the actual knowledge of Xxxxxx Xxxxx, Property Acquisition and Disposition Division of the Department of Housing and Community Development, telephone no. (000) 000-0000. The foregoing is set forth pursuant to requirements contained in the UST Act and UST Regulations and does not constitute a representation or warranty by District.
