Rail Services. TLO shall provide to Customer such rail loading and unloading services at the Anchorage Terminal as may be provided for in a Terminal Service Order. Customer shall deliver and/or pay for the Rail Minimum Commitment and TLO shall make available to Customer at all times rail loading and unloading capacity at the Anchorage Terminal sufficient to allow Customer to throughput the Rail Reserved Capacity, subject to railroad scheduling procedures and the operating procedures established from time-to-time by TLO for the Terminal. Customer shall pay the “Rail Loading Services Fee” for such services as set forth in a Terminal Service Order. TLO shall not make any commitments to third parties that would interfere with the ability of Customer to throughput the Rail Reserved Capacity at the Anchorage Terminal. Customer commits to deliver and/or pay for the Rail Minimum Commitment on a Monthly basis during the Term.

Rail Services. Clark R&M shall provide all railroad services necessary to transport petroleum coke and sulfur from the Heavy Oil Processing Facility, including, without limitation, (i) receiving inbound railcars from serving railroad carriers, sorting and weighing such cars and delivering them to the Coker Complex or Ancillary Equipment, as the case may be; (ii) receiving outbound rail cars from the Coker Complex and the Ancillary Equipment, sorting and weighing such cars and delivering them to serving railroad carriers; and (iii) providing switching to facilitate loading, unloading and maintenance activities for such railcars.
Rail Services. As applicable at the respective Terminal as set forth on Schedule I and Schedule C, Provider shall provide to Customer such rail loading and unloading services at the respective Terminal as may be provided for in a Terminal Service Order. Rail Services. 3.5 The rail services include all the routes and services covered within the WCB franchise. There is specification of required services, capacity, service quality, performance and other matters. The terms and conditions, including payments, KPIs, reporting, performance management and enforcement, are set out within the ODP Grant Agreement.

  • Legal Services If this Agreement is for legal services, this section is applicable. Contractor shall: (i) adhere to legal cost and billing guidelines designated by the JBE; (ii) adhere to litigation plans designated by the JBE, if applicable; (iii) adhere to case phasing of activities designated by the JBE, if applicable; (iv) submit and adhere to legal budgets as designated by the JBE; (v) maintain legal malpractice insurance in an amount not less than the amount designated by the JBE; and (vi) submit to legal bill audits and law firm audits if so requested by the JBE, whether conducted by employees or designees of the JBE or by any legal cost-control provider retained by the JBE for that purpose. Contractor may be required to submit to a legal cost and utilization review as determined by the JBE. If (a) the Contract Amount is greater than $50,000, (b) the legal services are not the legal representation of low- or middle-income persons, in either civil, criminal, or administrative matters, and (c) the legal services are to be performed within California, then Contractor agrees to make a good faith effort to provide a minimum number of hours of pro xxxx legal services, or an equivalent amount of financial contributions to qualified legal services projects and support centers, as defined in section 6213 of the Business and Professions Code, during each year of the Agreement equal to the lesser of either (A) thirty (30) multiplied by the number of full time attorneys in the firm’s offices in California, with the number of hours prorated on an actual day basis for any period of less than a full year or (B) the number of hours equal to ten percent (10%) of the Contract Amount divided by the average billing rate of the firm. Failure to make a good faith effort may be cause for nonrenewal of this Agreement or another judicial branch or other state contract for legal services, and may be taken into account when determining the award of future contracts with a Judicial Branch Entity for legal services.

  • General Services (1) Services to be provided on an ongoing basis to the extent applicable to a particular Fund:

  • Janitorial Services Tenant will not employ any person for the purpose of cleaning the Premises or permit any person to enter the Building for such purpose other than Landlord's janitorial service, except with Landlord's prior written consent. Tenant will not necessitate, and will be liable for the cost of, any undue amount of janitorial labor by reason of Tenant's carelessness in or indifference to the preservation of good order and cleanliness in the Premises. Janitorial service will not be furnished to areas in the Premises on nights when such areas are occupied after 9:30 p.m., unless such service is extended by written agreement to a later hour in specifically designated areas of the Premises.

  • Utility Services Company agrees to pay the full cost and expense associated with its use of all utilities, including but not limited to water, sanitary sewer, electric, storm drainage, and telecommunication services.

  • Marketing Services The Manager shall provide advice and assistance in the marketing of the Vessels, including the identification of potential customers, identification of Vessels available for charter opportunities and preparation of bids.
