Production Equipment. Seller at its own expense must furnish, keep in good condition and replace when necessary, all equipment, dies, tools, gauges, jigs, fixtures, patterns or other items necessary for the production of the Goods (the “Production Equipment”). Buyer reserves the right to take possession of and title to any Production Equipment that is special for the production of the Goods, unless the Goods are standard products of Seller, or if substantial quantities of like Goods are being sold by Seller to others.
Production Equipment. Production Equipment includes all equipment required for the fabrication of the Hoku Membrane™ in accordance with this Agreement, including but not limited to hot presses, injection molders, and mixers.
Production Equipment. Seller will furnish, keep in good condition, and replace when necessary, all machinery and equipment, including related tooling, jigs, dies, gauges, fixtures, molds, patterns, and other accessories, required for the production of Goods covered by this Contract (collectively, “Production Equipment”). Seller will insure all Production Equipment with fire and extended coverage insurance for its full replacement value. In addition to Buyer’s rights with respect to Buyer’s Property (as defined below), Seller grants Buyer an irrevocable option to take possession of, and title to, free and clear of all liens or other encumbrances, all or any part of the Production Equipment that is specially designed or outfitted for the production of the Goods covered by this Contract and is not used to produce goods that are the standard stock of Seller and are then being sold by Seller to other customers. To the extent Buyer elects to take title to any Production Equipment that is Seller’s property, Buyer will, within forty-five (45) days following delivery of such Production Equipment to Buyer, pay to Seller the lower of: (a) the net book value of such Production Equipment (i.e., actual cost less amortization), or (b) then current fair market value of such Production Equipment, in each case less any amounts Buyer has previously paid to Seller on account of such Production Equipment. Xxxxx’s right to exercise the foregoing option is not conditioned on, among other things, Seller’s breach, Xxxxx’s termination of this Contract, or payment of any other amounts due under this Contract. If Buyer and Seller do not agree on the amount to be paid to Seller for any Production Equipment under this Section 17, Buyer and Seller will work to resolve the disagreement in good faith, but Xxxxx will nonetheless have the right to take immediate possession of such Production Equipment upon payment of the undisputed amount (net of any amounts due to Buyer) to Seller, with any additional amounts owed to Seller to be paid promptly upon resolution of the disagreement.
Production Equipment. MCD shall provide the Company with a list of vendors who will develop the molds, tooling, dies and casts to produce component parts for the manufacture of the Engines. All such molds, tooling, dies and casts shall be referred to in this Agreement as the "Production Equipment." From the Effective Time until the third anniversary of this Agreement, the Production Equipment shall be used by the Company, MCD, any affiliate of the Company or MCD and their respective subcontractors for the sole and exclusive benefit of the Company.
Production Equipment. The equipment shall be inspected add tested in accordance with the KIV-7HSB Integration and Operations Manual and the Contract. (End of Clause)
Production Equipment. In the event that Licensee purchases any of the Production Equipment excluding the molds and dies from any third party, Licensee agrees that in order for Licensor to properly provide Technical Assistance to Licensee pursuant to this Agreement, Licensee shall purchase such Production Equipment only in accordance with the specifications therefor that are given to Licensee by Licensor. As for the molds and dies, the Licensor provides the specification of the Components to be manufactured with such molds and dies, and the Licensee shall purchase the molds and dies at its sole discretion and responsibility.
Production Equipment. 2.1 XYZ TV undertakes to make available to ABC Company the Production Equipment at the Production Facilities on a non-exclusive basis and at times reasonably agreed by both the parties to agreement. XYZ TV shall reasonably accommodate the requests of ABC Company for use of the Production Facilities and Production Equipment, but shall not be liable to ABC Company for any bona fide unavailability of the same provided that ABC Company will be treated in equal priority with all other users thereof.
Production Equipment. Equipment availability should be discussed directly with your SC Production Manager. If you require equipment that is not in stock, the SC Production Department may be able to arrange for it to be hired. The full cost of hire, including transport, will be recharged to the Promoter. Promoters should not leave any items either front or back of house, for example programmes, flyers, music etc. Any items left will be disposed of. How Southbank Centre can help market your event While the overall marketing of the event is your responsibility, Southbank Centre are happy to provide guidance where possible. All events are allocated a Marketing contact, who can provide guidance from 2 months prior to your event, and we strongly recommend that you liaise with your Marketing contact as early as possible once handed over. They will be able to provide advice on how your event can be promoted through SC channels. We aim for this staff member to be your point of contact from two months prior to the event. If this is not possible, we will ensure there is a full handover to facilitate a smooth transition. Southbank Centre monthly listings Your event will be listed in the relevant SC monthly listings. SC’s monthly listings brochure is an easy to navigate short-form listings guide displayed on site. Print deadlines and circulation of proofs will be sent to you by your Event Manager, but in general the deadline for copy is eight weeks before diary publication (see Appendix 3). Print Due to the number of events Southbank Centre hosts every year, we cannot guarantee space on site for printed leaflets. Southbank Centre is a digital-first organisation with extremely limited options to display leaflets. If you do wish to create a limited amount of print, please discuss this with your marketing contact before planning for any printed marketing materials. Please note that we do not have the facility to display any posters on site. All tools, fixture, gauges, jigs, patterns, castings, cavity dies and molds, packaging and other means of production that are special for the production of the Vendor under Order (“Production Equipment”) which is made available by the Purchaser to the Vendor to perform the Order, for which the Purchaser has agreed to reimburse the Vendor either by paying for the Production Equipment upon delivery or start of production or by amortization in form of a higher purchase price for future vendor will become Purchaser’s property (including passage of title) to the extent that the Vendor has been reimbursed for it by payment or degree of amortization already reached in series production.
