Common use of Nonsolicitation Clause in Contracts

Nonsolicitation. During the Noncompete Period, Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company, Employer or their respective Subsidiaries to leave the employ of the Company, Employer or such Subsidiary, or in any way interfere with the relationship between the Company, Employer and any of their respective Subsidiaries and any employee thereof, (ii) hire any person who was an employee of the Company, Employer or any of their respective Subsidiaries within one year prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company, Employer or any of their respective Subsidiaries to cease doing business with the Company, Employer or such Subsidiary or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company and any Subsidiary or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company, Employer or any of their respective Subsidiaries and with which the Company, Employer and any of their respective Subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company, Employer or any of their respective Subsidiaries in the two-year period immediately preceding a Separation.

Nonsolicitation. During the Noncompete Period, Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company, Employer Company or their respective its Subsidiaries or Affiliates to leave the employ of the Company, Employer Company or such SubsidiarySubsidiary or Affiliate, or in any way interfere with the relationship between the Company, Employer Company and any of their respective its Subsidiaries or Affiliates and any employee thereof, (ii) hire any person who was an employee of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates within one year prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates to cease doing business with the Company, Employer Company or such Subsidiary or Affiliate or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company and any Subsidiary or Affiliate or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates and with which the Company, Employer Company and any of their respective its Subsidiaries has and Affiliates has, in the two-year period immediately preceding a Separation, entertained discussions or has requested and received information relating to the acquisition of such business by the Company, Employer Company or any of their respective its Subsidiaries in the two-year period immediately preceding a Separationor Affiliates.

During the Noncompete Period, Executive shall --------------- not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company, Employer Company or their respective any of its Subsidiaries to leave the employ of the Company, Employer Company or such Subsidiary, or in any way interfere with the relationship between the Company, Employer and Company or any of their respective its Subsidiaries and any employee thereof, (ii) hire any person who was an employee of the Company, Employer Company or any of their respective its Subsidiaries within one year 180 days prior to the time such employee was hired by the Executive, (iii) induce or attempt to induce any owner of a site location, customer, supplier, licensee or other business relation of the Company, Employer Company or any of their respective its Subsidiaries to cease doing business with the Company, Employer Company or such Subsidiary or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company and or any Subsidiary of its Subsidiaries or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company, Employer Company or any of their respective its Subsidiaries and with which which, to Executive's knowledge, the Company, Employer and Company or any of their respective its Subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company, Employer Company or any of their respective its Subsidiaries in the twoone-year period immediately preceding a Separation.

During the Noncompete Period, Executive shall --------------- not directly or indirectly through another entity (i) knowingly induce or attempt to induce any employee of the Company, Employer Company or their respective any of its Subsidiaries to leave the employ of the Company, Employer Company or such Subsidiary, or in any way interfere in a deleterious manner with the relationship between the Company, Employer and Company or any of their respective its Subsidiaries and any employee thereof, (ii) knowingly hire any person who was an employee of the Company, Employer Company or any of their respective its Subsidiaries within one year 180 days prior to the time such employee was hired by the Executive, (iii) knowingly induce or attempt to induce any owner of a site location, customer, supplier, licensee or other business relation of the Company, Employer Company or any of their respective its Subsidiaries to cease doing business with the Company, Employer Company or such Subsidiary or in any way interfere with the relationship between any such site location, customer, supplier, licensee or business relation and the Company and or any Subsidiary of its Subsidiaries or (iv) knowingly directly or indirectly acquire or attempt to acquire an interest in any business entity relating to the business of the Company, Employer Company or any of their respective its Subsidiaries and with which which, to Executive's knowledge, the Company, Employer and Company or any of their respective its Subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company, Employer Company or any of their respective its Subsidiaries in the twoone-year period immediately preceding a Separationseparation.

During the Noncompete Period, Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company, Employer Parent or their respective Subsidiaries to leave the employ of the Company, Employer Parent or such Subsidiary, or in any way interfere with the relationship between the Company, Employer Parent and any of their respective Subsidiaries and any employee thereof, (ii) hire any person who was an employee of the Company, Employer Parent or any of their respective Subsidiaries within one year prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company, Employer Parent or any of their respective Subsidiaries to cease doing business with the Company, Employer Parent or such Subsidiary or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company and any Subsidiary or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company, Employer Parent or any of their respective Subsidiaries and with which the Company, Employer Parent and any of their respective Subsidiaries has has, in the two-year period immediately preceding a Separation, entertained discussions or has requested and received information relating to the acquisition of such business by the Company, Employer Parent or any of their respective Subsidiaries in the two-year period immediately preceding a SeparationSubsidiaries.

Nonsolicitation. During the Noncompete Period, Executive the Optionee shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company, Employer Company or their respective its Subsidiaries or Affiliates to leave the employ of the Company, Employer Company or such Subsidiaryany of its Subsidiaries or Affiliates, or in any way interfere with the relationship between the Company, Employer and any of their respective Company or its Subsidiaries or Affiliates and any employee thereof, and (ii) hire any person who was an employee of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates within one year 180 days prior to the time such employee was hired by Executivethe Optionee, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates to cease doing business with the Company, Employer Company or such Subsidiary its Subsidiaries or Affiliates or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company and any Subsidiary or its Subsidiaries or Affiliates or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates and with which the Company, Employer and any of their respective its Subsidiaries or Affiliates has entertained discussions entered into substantive negotiations or has requested and received confidential information relating to the acquisition of such business by the Company, Employer its Subsidiaries or any of their respective Subsidiaries Affiliates in the two-year period immediately preceding a Separationthe Optionee’s Termination of Services with the Company or any of its Subsidiaries or Affiliates.

Nonsolicitation. During the Noncompete Period, Executive Optionee shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company, Employer Company or their respective its Subsidiaries or Affiliates to leave the employ of the Company, Employer Company or such Subsidiaryany of its Subsidiaries or Affiliates, or in any way interfere with the relationship between the Company, Employer and any of their respective Company or its Subsidiaries or Affiliates and any employee thereof, (ii) hire any person who was an employee of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates within one year 180 days prior to the time such employee was hired by ExecutiveOptionee, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates to cease doing business with the Company, Employer Company or such Subsidiary its Subsidiaries or Affiliates or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company and any Subsidiary or its Subsidiaries or Affiliates or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates and with which the Company, Employer and any of their respective its Subsidiaries or Affiliates has entertained discussions entered into substantive negotiations or has requested and received confidential information relating to the acquisition of such business by the Company, Employer its Subsidiaries or any of their respective Subsidiaries Affiliates in the two-year period immediately preceding a SeparationOptionee’s termination of employment with the Company or any of its Subsidiaries or Affiliates.

During the Noncompete Period, Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company, Employer Company or their respective its Subsidiaries or Affiliates to leave the employ of the Company, Employer Company or such SubsidiarySubsidiary or Affiliate, or in any way interfere with the relationship between the Company, Employer Company and any of their respective its Subsidiaries or Affiliates and any employee thereof, (ii) hire any person who was an employee of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates within one year prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates to cease doing business with the Company, Employer Company or such Subsidiary or Affiliate or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company and any Subsidiary or Affiliate or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates and with which the Company, Employer Company and any of their respective its Subsidiaries has and Affiliates has, in the two-year period immediately preceding the end of the Employment Period, entertained discussions or has requested and received information relating to the acquisition of such business by the Company, Employer Company or any of their respective its Subsidiaries in the two-year period immediately preceding a Separationor Affiliates.

Nonsolicitation. During the Noncompete Period, Executive --------------- shall not directly or indirectly through another entity (i) knowingly induce or attempt to induce any employee of the Company, Employer Company or their respective any of its Subsidiaries to leave the employ of the Company, Employer Company or such Subsidiary, or in any way interfere in a deleterious manner with the relationship between the Company, Employer and Company or any of their respective its Subsidiaries and any employee thereof, (ii) knowingly hire any person who was an employee of the Company, Employer Company or any of their respective its Subsidiaries within one year 180 days prior to the time such employee was hired by the Executive, (iii) knowingly induce or attempt to induce any owner of a site location, customer, supplier, licensee or other business relation of the Company, Employer Company or any of their respective its Subsidiaries to cease doing business with the Company, Employer Company or such Subsidiary or in any way interfere with the relationship between any such site location, customer, supplier, licensee or business relation and the Company and or any Subsidiary of its Subsidiaries or (iv) knowingly directly or indirectly acquire or attempt to acquire an interest in any business entity relating to the business of the Company, Employer Company or any of their respective its Subsidiaries and with which which, to Executive's knowledge, the Company, Employer and Company or any of their respective its Subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company, Employer Company or any of their respective its Subsidiaries in the twoone-year period immediately preceding a Separationseparation.

Nonsolicitation. During the Noncompete PeriodPeriod and for a period of --------------- one year thereafter, Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company, Employer Company or their respective any of its Subsidiaries to leave the employ of the Company, Employer Company or such Subsidiary, or in any way interfere with the relationship between the Company, Employer and Company or any of their respective its Subsidiaries and any employee thereof, (ii) hire any person who was an employee of the Company, Employer Company or any of their respective its Subsidiaries within one year 180 days prior to the time such employee was hired by the Executive, (iii) induce or attempt to induce any owner of a site location, customer, supplier, licensee or other business relation of the Company, Employer Company or any of their respective its Subsidiaries to cease doing business with the Company, Employer Company or such Subsidiary or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company and or any Subsidiary of its Subsidiaries or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company, Employer Company or any of their respective its Subsidiaries and with which which, to Executive's knowledge, the Company, Employer and Company or any of their respective its Subsidiaries has entertained discussions or has requested and received information relating to the acquisition of such business by the Company, Employer Company or any of their respective its Subsidiaries in the twoone-year period immediately preceding a Separation.

Nonsolicitation. During the Noncompete Period, Executive shall not directly or indirectly through another entity (i) induce or attempt to induce any employee of the Company, Employer Company or their respective its Subsidiaries or Affiliates to leave the employ of the Company, Employer Company or such SubsidiarySubsidiary or Affiliate, or in any way interfere with the relationship between the Company, Employer Company and any of their respective its Subsidiaries or Affiliates and any employee thereof, (ii) hire any person who was an employee of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates within one year prior to the time such employee was hired by Executive, (iii) induce or attempt to induce any customer, supplier, licensee or other business relation of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates to cease doing business with the Company, Employer Company or such Subsidiary or Affiliate or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company and any Subsidiary or Affiliate or (iv) directly or indirectly acquire or attempt to acquire an interest in any business relating to the business of the Company, Employer Company or any of their respective its Subsidiaries or Affiliates and with which the Company, Employer Company and any of their respective its Subsidiaries has and Affiliates has, in the two-year period immediately preceding a Separation, entertained discussions or has requested and received information relating to the acquisition of such business by the Company, Employer Company or any of their respective its Subsidiaries in the two-year period immediately preceding a Separationor Affiliates; provided that Executive had material knowledge related to any such potential acquisition.
