Common use of Governmental Approvals Clause in Contracts

Governmental Approvals. No order, consent, approval, license, authorization, or validation of, or filing, recording or registration with, or exemption by, any Governmental Authority is required to authorize or is required in connection with (a) the execution, delivery and performance of any Credit Document or (b) the legality, validity, binding effect or enforceability of any Credit Document, except any of the foregoing the failure to obtain or make could not reasonably be expected to have a Material Adverse Effect.

Governmental Approvals. No order, consent, approval, license, authorization, or validation of, or filing, recording or registration with, or exemption by, any Governmental Authority foreign or domestic governmental or public body or authority, or any subdivision thereof, is required to authorize or is required in connection with (ai) the execution, delivery and performance of any Credit Document or (bii) the legality, validity, binding effect or enforceability of any Credit Document, except any of the foregoing the failure to obtain or make could not reasonably be expected to have a Material Adverse Effect.

No order, consent, approval, license, authorization, Governmental Approval or validation other act by or in respect of, or filing, recording or registration with, or exemption by, any Governmental Authority Authority, or consent or authorization of, approval by or notice to any other Person (other than the parties to the Credit Documents) is required to authorize or is required necessary (i) in connection with (a) the execution, delivery and performance of any the Credit Document or Documents, (bii) for the legality, validity, binding effect or and enforceability of any Credit Document, except any against it of the foregoing Credit Documents, and (iii) for the failure availability and transfer of Dollars required to obtain or make could not reasonably be expected to have a Material Adverse Effectpayments under the Credit Documents.

Governmental Approvals. No order, consent, approval, license, authorization, or validation of, or filing, recording or registration with, or exemption by, any Governmental Authority is required to authorize or is required in connection with (a) the execution, delivery and performance of any Credit Document or (b) the legality, validity, binding effect or enforceability of any Credit Document, Document except any for (i) those obtained or made and (ii) filings and recordings in respect of Liens created under the foregoing the failure to obtain or make could not reasonably be expected to have a Material Adverse EffectCredit Documents.

No order, consent, approval, license, authorization, authorization or validation of, or filingfiling (other than filings with the SEC), recording or registration with, with or exemption by, any Governmental Authority governmental or public body or authority, or any subdivision thereof, is required to authorize authorize, or is required in connection with with, (ai) the execution, delivery and performance of any Credit Document or (bii) the legality, validity, binding effect or enforceability of any such Credit Document, except any of the foregoing the failure to obtain or make could not reasonably be expected to have a Material Adverse Effect.

No order, consent, approval, license, authorization, or validation of, or filing, recording or registration with, or exemption by, or notice to, any Governmental Authority (other than those that have been, or on the Closing Date will be, obtained and in full force and effect) is required to authorize or is required in connection with (a) the execution, delivery and performance of any Credit Document or (b) the legality, validity, binding effect or enforceability of any Credit Document, except any of the foregoing the failure to obtain or make could not reasonably be expected to have a Material Adverse Effect.

Governmental Approvals. No order, consent, approval, license, authorization, or validation of, or filing, recording or registration with, or exemption by, any Governmental Authority New York or United States federal governmental or public body or authority, is required to authorize or is required in connection with as a condition to (ai) the execution, delivery and performance by the Borrower of any Credit Document to which it is a party, or (bii) the legality, validity, binding effect or enforceability as against the Borrower of any such Credit Document, except any of the foregoing the failure to obtain or make could not reasonably be expected to have a Material Adverse Effect.

Governmental Approvals. No order, consent, approval, license, authorization, authorization or validation of, or filing, recording or registration withwith (except as have been obtained or made), or exemption by, any Governmental Authority governmental or public body or authority, or any subdivision thereof, is required to authorize authorize, or is required in connection with with, (ai) the execution, delivery and performance of any Credit Document to which the Borrower is a party or (bii) the legality, validity, binding effect or enforceability of any such Credit Document, except any of the foregoing the failure to obtain or make could not reasonably be expected to have a Material Adverse Effect.
