No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required in connection with the due execution, delivery and performance by any Loan Party (i) the Borrower of any Loan Document to which it is or will be a party or (ii) any Subsidiary of Borrower of any Qualified Intercompany Loan Document to which it is or will be a party.

Governmental Approvals. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required in connection with the due execution, delivery and performance by any Loan Party of any Loan Document to which it is or will be a partyparty (A) other than filings and recordings with respect to Collateral to be made, or otherwise delivered to the Collateral Agent for filing or recordation, on the Effective Date and (B) any authorizations or approvals that have been obtained or made and are in full force and effect.

Governmental Approvals. No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority governmental authority is required in connection with for the due execution, delivery and performance by any Loan Party of any Loan Finance Document to which it is or will be a party, except for those which have been duly obtained or made and are in full force and effect or those for which the failure to obtain or make would not reasonably be expected to have a Material Adverse Effect.

Governmental Approvals. No authorization action, consent or approval of, registration or filing with or any other action by, and no notice to or filing with, by any Governmental Authority is or will be required in connection with the due execution, delivery and performance by any the Loan Party Parties of any the Loan Document to which it is or will be a partyDocuments.

Governmental Approvals. No consent, approval, order or authorization of, or approval or other action byregistration, and no notice to qualification, designation, declaration or filing with, any Governmental Authority federal, state or local governmental authority on the part of any Loan Party is required in connection with the due execution, delivery consummation of the transactions contemplated by this Agreement and performance by any the other Loan Party of any Loan Document to which it is or will be a partyDocuments.

Governmental Approvals. No Except for filings in connection with the perfection of the Liens created by the Loan Documents, no authorization or approval or other action by, and no notice to or filing with, any Governmental Authority that has not been obtained or made (or waived) is required in connection with the due execution, delivery and performance by any Loan Party each Obligor of any each Loan Document to which it is or will be a party.

No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required in connection with the due execution, delivery and performance by any Loan Credit Party of any Loan Document to which it is or will be a party, other than (i) those that have been obtained or made and are in full force and effect and (ii) filings necessary to perfect Liens on the Collateral.

No authorization or approval or other action ----------------------- by, and no notice to or filing with, any Governmental Authority governmental authority or other regulatory body is required in connection with the due execution, delivery and performance by each of Borrower or any Subsidiary of each of the Loan Party of any Loan Document Documents to which it is or will be a party.

No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority or regulatory body is required in connection with for the due execution, delivery and performance by any Loan Party Borrower of any Loan Document to Documents, except for such approvals and consents which it is have been made or will be a partyobtained.

No authorization or approval authorization, approval, consent, exemption, or other action by, and no or notice to to, or filing with, any Governmental Authority or any other Person is necessary or required in connection with the due execution, delivery and performance by by, or enforcement against, the Parent or any Loan Party of its Subsidiaries of any Loan Document to which it is or will be a partyparty except such as have been obtained on or prior to the Effective Date and those that will be obtained pursuant to Section 7.01(s).
