Fiber and Cable. A. Subject to the provisions of this Agreement and any underlying Right of Way Agreements that parties have entered into or may enter into, Service Provider shall maintain or cause a third party to maintain the Cable in a good and operable condition and shall repair or cause a third party to repair the Cable in a workmanlike manner.

Fiber and Cable. A. Emergency Repair. Provider shall correct or repair cable discontinuity or damage. Provider shall use commercially reasonable efforts to repair cable traffic discontinuity within the following timeframes: o Dispatch of personnel to problem area - immediately upon learning of discontinuity o Arrival of first maintenance employee on site - within four (4) hours of learning of discontinuity o Restoration of cable continuity - continuity of at least one fiber shall be established within six (6) hours of learning of discontinuity; restoration shall continue until all in-service fibers are restored o Electronic failure response time is two (2) hours.
Fiber and Cable. 3.1 Each Party’s goal is to limit the number of Service Affecting Conditions, including fiber cuts or single fiber failures, and to minimize the duration to less than twenty-four (24) hours or the minimum time practicably possible, whichever is less, when and if the Service Affecting Conditions occur, as follows (See Article 5.8 of the Agreement for target response times).

  • Transactional Services The Service Provider shall communicate to its Customers, as to shares of the Fund, purchase, redemption and exchange orders reflecting the orders it receives from its Customers or from any brokers and banks for their Customers. The Service Provider shall also communicate to beneficial owners holding through it, and to any brokers or banks for beneficial owners holding through them, as to shares of the Fund, mergers, splits and other reorganization activities, and require any broker or bank to communicate such information to its Customers.

  • Systems The details of any systems work will be determined after a thorough business analysis. System's work will be billed on a time and material basis. Investors Bank provides an allowance of 10 systems hours for data extract set up and reporting extract set up. Additional hours will be billed on a time and material basis.

  • Metering The Interconnection Customer shall be responsible for the Connecting Transmission Owner’s reasonable and necessary cost for the purchase, installation, operation, maintenance, testing, repair, and replacement of metering and data acquisition equipment specified in Attachments 2 and 3 of this Agreement. The Interconnection Customer’s metering (and data acquisition, as required) equipment shall conform to applicable industry rules and Operating Requirements.

  • Interactive Data The interactive data in eXtensible Business Reporting Language included as an exhibit to the Registration Statement or incorporated by reference in the Registration Statement fairly presents the information called for in all material respects and has been prepared in accordance with the Commission’s rules and guidelines applicable thereto.

  • Access to Properties Subject to the rights of Tenants, Borrower shall permit agents, representatives and employees of Lender to inspect the Properties or any part thereof at reasonable hours upon reasonable advance notice.

  • Infrastructure (a) The Borrower has and will maintain a sufficient infrastructure to conduct its business as presently conducted and as contemplated to be conducted following its execution of this Agreement.

  • Other Services At the request of the Fund, the Adviser in its discretion may make available to the Fund office facilities, equipment, personnel and other services. Such office facilities, equipment, personnel and services shall be provided for or rendered by the Adviser and billed to the Fund at the Adviser's cost.
