Definition of Net Working Capital. For the purpose of this Section 2.3, the termNet Working Capital” shall mean the Cash and Cash Equivalents, Accounts Receivable and other Current Assets (other than Inventory and prepaid expenses), less Current Liabilities included within the Assumed Liabilities, if any, all as of the Closing Date, calculated on a basis in conformity with GAAP applied on a basis consistent with the Seller’s past practice.

Definition of Net Working Capital. For purposes of this Section 1.4, the term "Net Working Capital" means the "Current Assets" (as hereinafter defined) over the "Current Liabilities" (as hereinafter defined) of the Oxxxxx Entities, as of 5:00 p.m., Kansas City, Missouri time, on the date hereof (the "Statement Date"), in each case as determined, except as otherwise provided herein, in accordance with generally accepted accounting principles applied consistently with past practices ("GAAP"). As used herein, the term "Current Assets" means those assets of the type listed on Annex 1 hereto (less applicable reserves), and the term "Current Liabilities" means those liabilities of the type listed on Annex 2 hereto. For the purposes of determining the "Net Working Capital", it is understood that Oxxxxx Canada shall continue to be considered an Oxxxxx Entity notwithstanding the sale of the "Oxxxxx Canada Shares" (as hereinafter defined) to LabOne pursuant to Section 2.4 hereof prior to the sale and purchase of the Oxxxxx Shares.
Definition of Net Working Capital. For purposes of this Section 3.6, the term "Net Working Capital" means (i) the aggregate amount of the "Current Assets" (as defined below) of the Company less (ii) the "Current Liabilities" (as defined below) of the Company, both determined as of 11:59 p.m., Hawaiian Standard Time, on the Closing Date after giving effect to the payments described in Section 3.1 and any resulting Tax Benefits. Definition of Net Working Capital. Net Working Capital” means an amount equal to the aggregate value of the current assets (other than the value of “Program Rights”) that are included in the Station Assets (which will exclude the value of cash, cash equivalents and other Excluded Assets) (“Working Capital Assets”) minus the aggregate value of the current liabilities (other than the value of “Program Rights”, “Due to Clear Channel” liabilities and Tax liabilities) that are included in the Assumed Obligations (“Working Capital Liabilities”), in each case calculated in accordance with GAAP, applied consistently with Seller’s past accounting practices with respect to the Stations; provided, however, that in calculating “Net Working Capital,” (i) all proper reserves and accruals with respect to Working Capital Assets and Working Capital Liabilities will be recorded, (ii) all accounting entries (including all liabilities and accruals) will be taken into account, in each case regardless of their amount, and all errors and omissions will be corrected and all proper adjustments made and (iii) any imbalance in the value of rights and obligations under trade, barter or similar agreements for the exchange of advertising time for goods or services will be disregarded. For illustration purposes only, Schedule 1.7(a) sets forth the manner of calculating Net Working Capital as of December 31, 2006. All calculations of Net Working Capital contemplated by this Section 1.7 shall be made in a manner consistent with the terms of this Section 1.7 and, to the greatest extent applicable, with Schedule 1.7(a).
Definition of Net Working Capital. As used herein, "Net Working Capital" means the amount equal to the excess of (i) all cash and cash equivalents, inventory, trade receivables, and other assets of the Companies, on a consolidated basis, which are generally considered to be current assets, over (ii) all trade accounts payable, inventory-related accruals, and other liabilities of the Companies, on a consolidated basis, which are generally considered to be current liabilities; provided that (A) such items shall be valued, to the extent feasible, in accordance with GAAP consistently applied to previous periods; (B) any trade receivables included in such determination which, as of the Closing Date, are more than 120 days aged shall be discounted to reflect a reasonable reserve for uncollectibility; (C) the quantities and types of inventory included in such determination shall be the Companies' book inventory as of the close of business on the Closing Date, provided that any inventory which is not of a quality which is usable or salable in the ordinary course of business shall be discounted to reflect a reasonable reserve for inventory write down; (D) current liabilities shall include an amount equal to all Employee Accruals as of the Closing Date; and (E) such determination shall not include any items constituting or representing inter-company accounts between the Companies or between either Company and Buyer or any of its Affiliates. As used herein, "Employee Accruals" means the amount the Companies would be required to pay under the Companies' employee benefit plans and applicable law, with respect to accrued and unused vacation days sick leave days and the like, if on the Closing Date the Companies were to terminate the employment of all of their employees without cause.
