Borrower has complied in all material respects with all laws necessary to conduct its business as presently conducted and Borrower is a corporation (i) duly organized, validly existing and in good standing in Delaware, (ii) in good standing and qualified to do business in the jurisdiction where such Borrower's principal place of business is located and (iii) in good standing and qualified to do business in all other jurisdictions to the extent necessary for Borrower to conduct its business as presently conducted in such jurisdictions.

CORPORATION IN GOOD STANDING. Corporation is in good standing. Buyer takes the risk and assumes the liability for all taxes currently due, including income and franchise taxes. Therefore, there are no representations as to the status of payment of any taxes by Seller to Buyer.
CORPORATION IN GOOD STANDING. Xxxxxx, Xxxxxxxx, Xxxxx and Platronics represent and warrant that, to the best of their knowledge, Platronics is a duly incorporated New Jersey corporation, current on all federal state and local taxes.
