Authorized to do Business. To the extent required under applicable law, as of the Cut-off Date or as of the date that such entity held the Mortgage Note, each holder of the Mortgage Note was authorized to transact and do business in the jurisdiction in which each related Mortgaged Property is located, or the failure to be so authorized does not materially and adversely affect the enforceability of such Mortgage Loan by the Trust.
Authorized to do Business. To the extent required under applicable law as of the date of origination, and necessary for the enforceability or collectability of the Mortgage Loan, the originator of such Mortgage Loan was authorized to do business in the jurisdiction in which the related Mortgaged Property is located at all times when it originated and held the Mortgage Loan.
Authorized to do Business. To the extent required under applicable law, as of the Cut-off Date and as of each date that Seller held the Mortgage Note, Seller was authorized to transact and do business in the jurisdiction in which each related Mortgaged Property is located, or the failure to be so authorized does not materially and adversely affect the enforceability of such Mortgage Loan by the Issuer.
Authorized to do Business. To Seller’s knowledge, and to the extent required under applicable law, as of the Purchase Date and as of each date that such entity held the Mortgage Note, each holder of the Mortgage Note was authorized to transact and do business in the jurisdiction in which each related Mortgaged Property is located, or the failure to be so authorized does not materially and adversely affect the enforceability of such Purchased Asset by Buyer.
Authorized to do Business. To the extent required under applicable law, as of the date that such entity held the related Mortgage Note, each holder of such Mortgage Note was authorized to originate, acquire and/or hold (as applicable) such Mortgage Note in the jurisdiction in which the related Mortgaged Property is located, or the failure to be so authorized does not materially and adversely affect the enforceability of such Mortgage Loan by Seller.
Authorized to do Business. To the extent required under applicable law, as of the Purchase Date and as of each date that such entity held the Mezzanine Note, each holder of the Mezzanine Note was authorized to transact and do business in the jurisdiction in which the underlying Mortgaged Property is located, or the failure to be so authorized does not materially and adversely affect the enforceability of such Purchased Asset by Administrative Agent, on behalf of Buyers.
Authorized to do Business. To the extent required under applicable law, Seller is authorized to transact and do business in each jurisdiction in which a Mortgaged Property is located at all times when it held the Mezzanine Loan.
Authorized to do Business. Owner is authorized to do business and is in good standing in the State of Texas and shall remain in good standing in the State of Texas during the Term of this Agreement.
Authorized to do Business. To the extent required under applicable law, as of the Closing Date or as of any prior date that such entity held the Mortgage Note, each holder of the Mortgage Note was authorized to originate, acquire and/or hold (as applicable) the Mortgage Note in the jurisdiction in which the Mortgaged Property is located, or the failure to be so authorized does not materially and adversely affect the enforceability of the Underlying Loan; provided, however, that Borrower makes no representation regarding the authorization of any holder other than itself or any Affiliate, in each case, if applicable.
Authorized to do Business. With respect to the Senior Loan related to such Participation Interest, to the extent required under applicable law as of the date of origination, and as necessary for the enforceability or collectability of such related Senior Loan, the originator and each other holder of such related Mortgage Note was authorized to transact and do business in the jurisdiction in which each related Mortgaged Property is located , or the failure to be so authorized does not materially or adversely affect the enforcement of such Senior Loan by such holder of such related Mortgage Note.
