Common use of Authority to Bind Clause in Contracts

Authority to Bind. Each party to this Agreement represents and warrants that the execution, delivery and performance of this Agreement and the consummation of the transactions provided in this Agreement have been duly authorized by all necessary action of the respective entity and that the person executing this Agreement on its behalf has the full capacity to bind that entity. Each party further represents and warrants that it has been represented by independent counsel of its choice in connection with the negotiation and execution of this Agreement, and that counsel has reviewed this Agreement.

Authority to Bind. Each party to this Agreement represents and warrants that the execution, delivery and performance of this Agreement and the consummation of the transactions transaction provided in this Agreement agreement have been duly authorized by all necessary action of the respective entity and that the person executing this Agreement on its behalf has the full capacity to bind that entity. Each party further represents and warrants that it has been represented by independent counsel of its choice in connection with the negotiation and execution of this Agreement, and that counsel has reviewed this Agreement.

Authority to Bind. Each party to The execution and delivery of this Agreement represents and warrants that the executionperformance of the actions contemplated hereby are duly authorized and approved by all necessary corporate actions of each Party, delivery respectively, and the persons signing this Agreement on behalf of each Party has the necessary authority to bind such Party to the terms of this Agreement. The execution and performance of this Agreement and the consummation any agreements contemplated hereby will not constitute a breach or violation of the transactions provided in this Agreement have been duly authorized by all necessary action of the (i) each Party’s respective entity and that the person executing this Agreement on its behalf has the full capacity organizational documents; or (ii) any mortgage, deed, arrangement or other instrument to bind that entity. Each party further represents and warrants that it has been represented by independent counsel of its choice in connection with the negotiation and execution of this Agreement, and that counsel has reviewed this Agreementwhich a Party is respectively subject or bound.

Each party further represents and warrants that it has been represented by independent counsel of its choice in connection with the negotiation and execution of this Agreement, and that counsel has reviewed this Agreementsignatories hereto.
