Common use of Authority to Bind Clause in Contracts

Authority to Bind. Each individual who executes this Agreement on behalf of a party represents that he/she is duly authorized to execute this Agreement on behalf of that party and is operating within the scope of his/her authority.

Authority to Bind. Each individual who executes executing this Agreement on behalf of a party represents and warrants that he/she such person is duly authorized to execute do so, and, that upon executing this Agreement, this Agreement on behalf of that shall be binding and enforceable in accordance with its terms upon the party and for whom such person is operating within the scope of his/her authorityacting.
