Agency Group. The Corporation agrees that, subject to the consent of the Corporation, such consent not to be unreasonably withheld, the Agents have the right to invite one or more investment dealers to form an agency group to participate in the soliciting of offers to purchase the Offered Securities. The Agents shall have the exclusive right to control all compensation arrangements between the members of the agency group. The Corporation grants all of the rights and benefits of this Agreement to any investment dealer who is a member of any agency group formed by the Agents and appoints the Lead Agent as trustee of such rights and benefits for all such investment dealers, and the Lead Agent hereby accepts such trust and agrees to hold such rights and benefits for and on behalf of all such investment dealers. The Agents shall ensure that any investment dealer who is a member of any agency group formed by the Agents pursuant to the provisions of this subsection 3(e) or with whom the Agents have a contractual relationship with respect to the Offering, if any, agrees with the Agents to comply with the covenants and obligations given by the Agents herein.
Agency Group. The Agent shall have the exclusive right to control all compensation arrangements between the members of the agency group. The Corporation grants all of the rights and benefits of this Agreement, subject to the obligations and liabilities of this Agreement, to any investment broker or dealer disclosed to the Corporation who is a member of any agency group formed by the Agent and appoints the Agent as trustee of such rights and benefits, subject to the obligations and liabilities for all such investment dealers, and the Agent hereby accepts such trust and agrees to hold such rights and benefits for and on behalf of all such investment brokers or dealers. The Agent shall ensure that any investment broker or dealer who is a member of any agency group formed by the Agent pursuant to the provisions of this subsection 2(b) or with whom the Agent has a contractual relationship with in respect to the Offering, if any, agrees with the Agent and the Corporation to comply with the covenants and obligations given by the Agent herein.
Agency Group. This group is essentially a project team for the Local Area Agreement. Its membership is drawn from the following organisations: ▪ Norfolk County Council ▪ Norfolk Constabulary ▪ Xxxx'x Xxxx and West Norfolk Borough Council ▪ West Norfolk LSP ▪ Norwich City Council ▪ Norwich Community Partnership ▪ North Norfolk Council ▪ North Norfolk LSP ▪ Breckland District Council ▪ Breckland LSP ▪ Norfolk NHS - through the public health network ▪ Norwich and Norfolk Voluntary and Community Service ▪ Norfolk County Strategic Partnership Our approach In summary we have taken as our starting point the priorities from the District LSP strategies, Norfolk Ambition, CDRP strategies and other significant themed strategies. We started the consultation with a stakeholder workshop in July - the attendees (list available on request) commented on the priorities, identified some gaps, and drew up a 'long list'. This 'long list' was then discussed with specific 'expert groups', and as a whole with Local Strategic Partnerships, and the existing networks - as above. The findings of those discussions were then taken back to a second stakeholder workshop in November where partners debated the emerging outcomes. Each Block Lead then 'championed' the outcomes for their block at the County Strategic Partnership Management Group, having taken on board views and comments, and drawing on their specific professional knowledge. Engagement with the voluntary and community sector Norfolk has a vibrant voluntary and community sector which is already actively engaged in the County Strategic Partnership - represented at Board and Management Group level. In 1999/2000 a major research project to identify the size, scope and economic, social and cultural value of Norfolk’s voluntary and community sector was undertaken. The following were the major findings of the project, largely based on 806 responses to a postal questionnaire (a 23% response rate): • Norfolk boasts a dynamic and vibrant voluntary and community sector consisting of at least 3,500 organisations • The sector is a major service provider in health and social care, arts, the environment, heritage, education, information, advice, advocacy, community regeneration and development • Volunteers make an enormous contribution – over 31,500 volunteers supported the respondent organisations - in economic terms the annual contributions of volunteers working for respondent organisations was almost £10 million a year • In 1998/9 almost 250,000 people...

The Corporation grants all of the rights and benefits of this Agreement to any investment dealer who is a member of any agency or selling group formed by the Underwriter and appoints the Underwriter as trustee of such rights and benefits for all such investment dealers, and the Underwriter hereby accepts such trust and agrees to hold such rights and benefits for and on behalf of all such investment dealers. The Corporation grants all of the rights and benefits of this Agreement to any investment dealer who is a member of any agency group formed by the Agent and appoints the Agent as trustee of such rights and benefits for all such investment dealers, and the Agent hereby accepts such trust and agrees to hold such rights and benefits for and on behalf of all such investment dealers. The Agent shall ensure that any investment dealer who is a member of any agency group formed by the Agent pursuant to the provisions of this subsection 3(b) or with whom the Agent has a contractual relationship with respect to the Offering, if any, agrees with the Agent to comply with the covenants and obligations given by the Agent herein.
Agency Group. 12.15 The Agency undertakes to procure compliance with the terms of this Framework Agreement and all Call-Off Contracts by all members of the Agency Group as if such members of the Agency Group were also parties to this Framework Agreement and each Call-Off Contract, and shall be liable for any acts or omissions of the Agency Group which result in a breach of this Framework Agreement and/or any Call-Off Contract as if such member of the Agency Group had been a party to this Framework Agreement and the Call-Off Contracts.
