Title Notice definition

Title Notice has the meaning ascribed to such term in Section 6.2(a).

Title Notice means a written notice with respect to any Title Defect or Title Benefit, as applicable, that includes (i) a description and explanation of the Title Defect or Title Benefit, as applicable, and the Company Lease, Company Unit or Company Well affected thereby, (ii) such supporting documents in the possession of the Party claiming the Title Defect or Title Benefit (or references thereto, in the case of documents (A) in the applicable Company’s possession so long as such documents are made available to Purchaser or (B) filed of record) which are used by such Party to identify the existence of any such Title Defect or Title Benefit, as applicable, and (iii) the Allocated Value of the Company Lease, Company Unit or Company Well affected by such Title Defect or Title Benefit, as applicable, and Purchaser’s or Seller’s, as applicable, estimate of, with respect to any Title Defect, the Title Defect Amount, and with respect to any Title Benefit, the Title Benefit Amount, and the computations upon which Purchaser’s or Seller’s, as applicable, belief is based.
