It is a condition of the Investment that Alberta Innovates has the right to require the [SME OR Testing Site] Applicant to repay to Alberta Innovates any portions of the Investment which were used to cover Ineligible Expenses, and such amount shall constitute a debt immediately owing and repayable on demand by the Applicant to Alberta Innovates.
Ownership of any Intellectual Property developed through the Project will follow the practices of the SME Applicant and Testing Site Applicant, and agreement(s) to which the SME Applicant or the Testing Site Applicant is a party, and a copy of such agreement must be provided to Alberta Innovates as proof of compliance with this requirement upon request, and on a strictly confidential basis.
Should an unforeseen circumstance arise whereby it is not possible to meet the deliverables set out in a particular Milestone, the SME Applicant and Testing Site Applicant may request an amendment to the Investment Agreement by contacting Alberta Innovates’ representative set out in ARTICLE 6 below no later than two (2) weeks prior to the next Milestone completion date.
