Target Research Activities definition

Target Research Activities has the definition set forth in Section 3.4.1 (Target Research Plans).
Target Research Activities means the activities undertaken by the Parties pursuant to the Research Plan with respect to identifying Compounds and developing Products directed towards the Exclusive Research Targets.

Examples of Target Research Activities in a sentence

  • Subject to the JSC’s review and approval of each Research Plan, the Parties will [***] perform (themselves or through their Affiliates or any subcontractor) the Target Research Activities in accordance with the applicable Target Research Plan and the Exploratory Research Activities in accordance with the Exploratory Research Plan.

  • NVS will have the right to Develop and Commercialize [***] arising from the Target Research Activities.

  • During the Research Term for the Target Research Activities and in accordance with the terms and conditions of this Agreement, the Parties will collaborate to identify and synthesize Candidates that Modulate each Target according to the applicable Target Research Plan for such Target, with the aim of identifying IND-ready Candidates for treatment of the corresponding Indication for such Target.

  • As of the Effective Date, the Parties anticipate that the Target Research Activities will result in the identification, synthesis, and further advancement of at least [***] IND-ready Candidate that Modulates each Target, which Candidate(s) NVS may elect to take forward into Clinical Development.

  • As more fully set forth herein, MAGENTA and HDPR shall conduct mutually agreed to Target Research Activities and Technology Research Activities (together referred to as the “Research Activities”) pursuant to the Research Plan.

  • Subject to Section 3.8, MAGENTA may sublicense the rights granted to it in this Section 3.3.4 to Contractors engaged by MAGENTA to perform Target Research Activities on its or their behalf.

  • Within [***] of MAGENTA exercising its Exclusive Research Option Rights with respect to an Exclusive Research Target, the JSC will update the Research Plan to set forth the Target Research Activities to be conducted by the Parties in connection with such Exclusive Research Target, including the objectives, FTEs, other resources and anticipated budget required for such activities, including, as further detailed in Section 6.1.1, with respect to HDPR’s supply obligations.

  • Target Research Activities shall commence, on an Exclusive Research Target-by-Exclusive Research Target basis, upon MAGENTAIs exercise of its Exclusive Research Option Right and the Parties mutually agreeing on an amendment to the Research Plan with respect to a Target (at which time, such Target shall be an Exclusive Research Target) and shall continue until the end of the Target Research Term for such Exclusive Research Target.

  • During the Technology Research Term, HDPR hereby grants to MAGENTA the option to acquire an exclusive license under the HDPR IP Rights and HDPR IP Improvements with respect to [***] Targets (the “Exclusive Research Option Right”), which exclusive licenses would by granted on a Target-by-Target basis and enable MAGENTA to conduct Target Research Activities with respect to such Targets as more fully set forth in Section 3.3.4.

  • The Research Plan will set forth (a) the Technology Research Activities and Target Research Activities to be conducted by the Parties, (b) the activities and specific objectives of the Parties in conducting such activities and (c) the anticipated budget necessary for conducting such activities.

Related to Target Research Activities

  • Development Activities means those activities which are normally undertaken for the development, construction, rehabilitation or conversion of buildings for residential purposes, including the acquisition of property;

  • Research Program has the meaning set forth in Section 2.1.

  • Research Program Term has the meaning set forth in Section 2.2.

  • Development Program means the implementation of the development plan.

  • Collaboration Know-How means all Know-How and Materials discovered, created, conceived, developed or reduced to practice in the course of performing activities under the Collaboration Program (whether solely by one Party or jointly by the Parties, in each case with their Affiliates or any Third Parties or any employees, consultants or agents of any of the foregoing which perform activities under the Collaboration Program).

  • Collaboration has the meaning set forth in Section 2.1.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Collaboration Technology means all Collaboration Patents and Collaboration Know-How.

  • Development Activity means any activity defined as Development which will necessitate a Floodplain Development Permit. This includes buildings, structures, and non-structural items, including (but not limited to) fill, bulkheads, piers, pools, docks, landings, ramps, and erosion control/stabilization measures.

  • Medical Affairs Activities means, with respect to any country or other jurisdiction in the Territory, the coordination of medical information requests and field based medical scientific liaisons with respect to Licensed Compounds or Licensed Products, including activities of medical scientific liaisons and the provision of medical information services with respect to a Licensed Compound or Licensed Product.

  • Research Plan shall have the meaning set forth in Section 2.1.

  • Commercialization or “Commercialize” means any and all activities undertaken at any time for a particular Licensed Product and that relate to the manufacturing, marketing, promoting, distributing, importing or exporting for sale, offering for sale, and selling of the Licensed Product, and interacting with Regulatory Authorities regarding the foregoing.

  • Phase III Clinical Trials means a Clinical Trial for the Product on sufficient numbers of patients to generate safety and efficacy data to support Regulatory Approval in the proposed therapeutic indication, conducted in accordance with current good clinical practices and in accordance with a protocol that has been reviewed by the FDA and reflects any comments or concerns raised by the same.

  • Development Plans has the meaning set forth in Section 3.2.

  • Development Period means the period from the date of this Agreement until the Appointed Date;

  • Research Period means the research period as described in the Commissioned Research Plan. In accordance with the provisions of this Agreement, in the event that the Agreement ended prior to the completion date of the research originally set, the date the Agreement ends shall be read as the research period.

  • Research means a methodical investigation into a subject.

  • Collaboration Term has the meaning specified in Section 2.1.2 hereof.

  • Clinical Trials means a controlled study in humans of the safety or efficacy of a Product, and includes, without limitation, such clinical trials as are designed to support expanded labeling or to satisfy the requirements of an Agency in connection with any Product Approval and any other human study used in research and Development of a Product.
