SpinCo Indemnitees definition

SpinCo Indemnitees shall have the meaning set forth in Section 4.3.

SpinCo Indemnitees has the meaning set forth in Section 6.03.

SpinCo Indemnitees means each member of the SpinCo Group and their Affiliates and each of their respective current, former or future directors, officers, agents, managers, trustees, and employees (in each case, in such Person’s respective capacity as such) and their respective heirs, executors, administrators, successors and assigns.

• Honorarium: Rs.20,000/-p.m (consolidated).Period: Initially for a period of 1 year.

• In the case of a Dispute related to a Third Party Claim, the Applicable Deadline shall be one year after the date on which, as the case may be, (i) RemainCo receives notice or otherwise learns of the assertion of the Third Party Claim against it or any of the RemainCo Indemnitees or (ii) SpinCo receives notice or otherwise learns of the assertion of the Third Party Claim against it or any of the SpinCo Indemnitees.

SpinCo Indemnitees means each SpinCo Entity, its Affiliates, and all Persons who are or have been stockholders, directors, partners, managers, managing members, officers, agents or employees of a SpinCo Entity or any of its Affiliates (in each case, in their respective capacities as such), in each case, together with their respective heirs, executors, administrators, successors and assigns.

SpinCo Indemnitees means each member of the Spinco Group and each of their and their Affiliates and each of their respective Affiliates’ directors, officers, employees, advisors and agents.
