Software Services definition

Software Services means services that Customer provides to you that make available, display, run, access, or otherwise interact, directly or indirectly, with the Products. Customer must provide these services from data center(s) through the Internet, a telephone network or a private network, on a rental, subscription or services basis, whether or not Customer receives a fee. Software Services exclude any services involving installation of a Product directly on any End User device to permit an End User to interact with the Product.

• Upon termination, Company must stop using the Software, Services, and Cloud Services and each Party must return or destroy any Confidential Information of the other Party (other than information that must be retained by Law).

• All charges for the Software Services shall be made according to the terms of the Order Contract.

More Definitions of Software Services

Software Services each means the web-based service(s) commonly referred to as a “Software as a Service” (SaaS) solution to be provided by or on behalf of Xxxxxx under this Agreement that includes hosting, monitoring, operating and maintaining the Software as a service at a site owned or controlled by Xxxxxx and the delivery of non-exclusive access via the Internet to Customer to use the Software, as a service, granted to Customer pursuant to Section 2 hereof. The Services shall also include storing all data entered and maintained by Users through use of the Services.

Software Services. “Supported Instances” and “Third-Party Software Licenses” have the meanings as detailed and further set forth in the applicable Exhibit A and an Order (as defined in Section 5.2).

Software Services means the software services made available by HWML for use by Broker, including the making available of the Software and accompanying Support, and any Modifications to such services and/or software, as may be subscribed to or purchased by Broker pursuant to and as specified in an Order, but not including Professional Services or HWML Third Party Tools and Data.

Software Services may be provided via the Internet or a private network and through an Outsourcing Company or by means of a Hosted Server. Software Services does not include arrangements where QAD provides hosting, application management and similar services to a customer which owns its own perpetual license to the Covered Applications.
