Shareholders Resolution definition

Shareholders Resolution means a resolution adopted by votes of shareholders of the Company at a General Meeting.
Shareholders Resolution shall have the meaning set forth in Section 4.2.
Shareholders Resolution has the meaning assigned to it in Section 5.2.

  • A Shareholders Resolution approving a merger (as defined in the Companies Law) of the Company shall be deemed adopted if approved by the holders of a majority of the voting power represented at the meeting in person or by proxy and voting thereon.
