Examples of Selling Shareholders in a sentence
The Company (on its behalf and, to the extent permitted by applicable law, on behalf of its stockholders and affiliates), each of the Selling Shareholders and each of the Underwriters hereby irrevocably waives, to the fullest extent permitted by applicable law, any and all right to trial by jury in any legal proceeding arising out of or relating to this Agreement or the transactions contemplated hereby.
Nothing contained herein shall be interpreted to prevent the Company and any of the Selling Shareholders, severally and not jointly, from retaining legal counsel or such other advisors as may be required for taxation, accounts, legal matters, employee matters, due diligence and related matters in connection with the Offer.
However, the Managers and their respective Affiliates shall not be liable in any manner whatsoever for any acts or omissions of any other advisor appointed by the Company or the Selling Shareholders.
Schedule 4A hereto contains a complete and accurate list of the Company’s officers, directors and each owner of 5% or more of the Company’s outstanding Ordinary Shares other than the Selling Shareholders (as defined in the Prospectus) (or securities convertible, exchangeable or exercisable into Ordinary Shares) and Schedule 4B contains a complete and accurate list of all holders of the Company’s Preferred Shares (as defined in the Prospectus) (collectively, the “Lock-Up Parties”).
The Company and the Selling Shareholders shall not, during the term of this Agreement, appoint any other lead manager, co-manager, syndicate member or other advisor in relation to the Offer or sale of the Offered Shares by the Company or any of the Selling Shareholders without the prior written consent of the Managers which consent shall not be unreasonably withheld (other than the Manager(s) with respect to whom this Agreement has been terminated, if any).
