Securities Note definition

Securities Note means a securities note relating to a Tranche of Covered Bonds for the purposes of Article 5.3 of the Prospectus Directive in a form to be agreed with the relevant Dealer(s) for use in connection with, and supplemental to, the Registration Document and setting out the contractual terms and other prescribed information in respect to such Tranche of Covered Bonds;

Securities Note means this document.

Securities Note means a securities note relating to a Tranche of Securities for the purposes of Article 8 of the UK Prospectus Regulation, in a form to be agreed with the relevant Dealer(s) for use in connection with, and supplemental to, the Registration Document and setting out the contractual terms and other prescribed information in respect to such Tranche of Notes;

Examples of Securities Note in a sentence

• The Issuer appoints the Fiscal Agent at its specified office as Calculation Agent in relation to each Series of Notes in respect of which it is named as such in the relevant Final Terms or Drawdown Prospectus or Securities Note (as the case may be) for the purposes specified in this Agreement and in the Conditions and all matters incidental thereto.

• The Fiscal Agent acknowledges and agrees that it shall be named in the relevant Final Terms or Drawdown Prospectus or Securities Note (as the case may be) as Calculation Agent in respect of each Series of Notes of which it agrees to be so named unless the Dealer (or one of the Dealers) through whom such Notes are issued has agreed with the Issuer to act as Calculation Agent or the Issuer otherwise agrees to appoint another institution as Xxxxxxxxxxx Agent.

• The Fiscal Agent accepts its appointment as Calculation Agent in relation to each Series of Notes in respect of which it agrees to be named as such in the relevant Final Terms or Drawdown Prospectus or Securities Note (as the case may be) and shall perform all matters expressed to be performed by it in, and otherwise comply with, the Conditions and the provisions of this Agreement and, in connection therewith, shall take all such action as may be incidental thereto.

More Definitions of Securities Note

Securities Note means the securities note issued by the Issuer in respect of the Bond Issue, dated 1 February, 2023, forming part of the Prospectus; and

Securities Note means the securities note prepared in connection with the Programme as revised, supplemented or amended from time to time by the Issuer and the CBC in accordance with Clause 6.2 of the Programme Agreement including any documents which are from time to time incorporated by reference in the securities note, except that in relation to each Tranche of Covered Bonds only, the applicable Final Terms shall be deemed to be included in the securities note.

Securities Note means the Securities Note, which, together with this document and the Registration Document, constitutes the Prospectus;

Securities Note means the summary and securities note for the Shares to be offered in the relevant Offer Period forming part of the Prospectus;

Securities Note means the securities note prepared in connection with the Programme as revised, supplemented or amended from time to time by the Issuer and the CBC.

Securities Note means a securities note relating to a tranche of Notes issued under the Fiscal Agency Agreement for the purposes of Article 5.3 of the Prospectus Directive and setting out the contractual terms and other presecribed information in respect of such tranche of Notes and being supplemental to the Registration Document;

Securities Note means the current note prepared by Bone Therapeutics SA in relation to the admission to trading of 4,832,352 New Shares on Euronext Brussels and Euronext Paris Stock Exchange Tax Representative has the meaning as set out in Section 4.9.3
