Sale Facility definition

Sale Facility means the arrangement under which a Designated Member is required to transfer their shares to the Sale Nominee on the basis that the Sale Nominee is entered in the Register in respect of those Sale Shares, and will sell the Sale Shares for cash to pay the Sale Consideration to the relevant Designated Member;
Sale Facility or “Sale Facilities” shall mean the Xxxxxx Facility, the Athens Facility, the Saginaw Steering Facility, and the Sandusky Facility.
Sale Facility means the facility to be established by the Sale Agent under which the Clean TeQ Water Shares to which Ineligible Foreign Shareholders and Selling Shareholders would otherwise be entitled under the Demerger will be transferred to the Sale Agent and sold on their behalf as described more fully in Section 8.6.

  • For the purpose of this rounding calculation, the Existing Units held by the Sale Nominee under the Sale Facility will be treated as if they represented separate holdings of those Ineligible Foreign Securityholders who transferred those Existing Units to the Sale Nominee, with the rounding calculation applying to each such separate holding.

  • Sale Facility Account means the account established by the Sale Nominee in its own name, to which the Sale Nominee must deposit all funds received in respect of the Sale Securities.

  • Scheme Consideration means, in respect of each Scheme, that number of Units as set out in the Scheme to be issued to Scheme Participants at the application price set out in clause 14.1.   • Unit Sale Facility Transfer Form means, for each Ineligible Foreign Securityholder, a duly completed and executed proper instrument of transfer for the Units to the RE for the purposes of section 1071B of the Corporations Act, which may be a master transfer form.

Sale Facility means the facility to be administered by the Sale Agent pursuant to which Ineligible Foreign Shareholders and Small Parcel Holders (excluding Excluded Small Parcel Holders) will have their Share Scheme Consideration sold on their behalf and have the net proceeds of sale remitted to them under the terms of the Share Scheme.

Sale Facility means the facility by which the Sales Agent disposes of certain Beadell Shares held by Ineligible Foreign Shareholders or Electing Small Shareholders;
