The Units shall be earned based on the achievement of Return on Invested Capital (“ROIC”), Total Organic Revenue Growth % and Relative TSR (each, as defined on Exhibit A attached hereto, and collectively, the “Performance Goals”), respectively, during the period commencing as of January 1, 2024 and ending on December 31, 2026 (the “Performance Period”).
