Released Defendant Persons definition

Released Defendant Persons means all persons and entities named as a Defendant in the Action or that could have been named as a Defendant in the Action, including, without limitation, the past and present officers and members of the Board of Directors of AMC, the members of the special committee of the Board of Directors of AMC that approved the Transaction, Silver Lake, and the members of the SLC, and any and all of the respective current and former employers, parent entities, controlling persons, owners, members, co-investors, lenders, principals, affiliates, or subsidiaries of any of the foregoing, and each and all of the respective past or present officers, directors, managers, partners, limited partners, stockholders, representatives, employees, attorneys, financial or investment advisors, consultants, accountants, investment bankers, commercial bankers, agents, heirs, executors, trustees, personal representatives, estates, administrators, predecessors, successors, assigns, insurers, and reinsurers of any of the foregoing.
Released Defendant Persons means any and all Defendants and/or their respective controlling persons and/or their respective families, parent entities, associates, affiliates, or subsidiaries, and each and all of their respective past, present, or future officers, directors, stockholders, agents, representatives, employees, attorneys, financial or investment advisors, other advisors, consultants, accountants, investment bankers, commercial bankers, trustees, engineers, insurers, co-insurers and reinsurers, heirs, executors, trustees, general or limited partners or partnerships, limited liability companies, members, heirs, executors, personal or legal representatives, estates, administrators, predecessors, successors, and assigns, whether or not any such person or entity was served or appeared in the Litigation.
Released Defendant Persons means, collectively, each and all of Individual Defendants, Fluor, and each and all of the Related Persons of each of the Individual Defendants and Fluor.

  • Pending final determination by the Court of whether the Settlement should be approved, the Court bars and enjoins Plaintiffs, and all other members of the Class, from instituting, commencing or prosecuting any and all of the Settled Plaintiff Claims against any and all of the Released Defendant Persons.

Released Defendant Persons means, whether or not each or all of the following Persons or entities were named, served with process, or appeared in the Derivative Action: (i) Bogeajis, Roberts, Sather, Valle, Ammerman, and Borgese; (ii) any Person that is or was related to or affiliated with any or all of the foregoing in (i); and (iii) with respect to the individuals and entities set forth or described in (i) and (ii), each of their respective heirs, trusts, trustees, executors, estates, administrators, beneficiaries, distributees, agents, employees, fiduciaries, partners, control persons, partnerships, general or limited partners or partnerships, joint ventures, member firms, limited liability companies, corporations, parents, subsidiaries, divisions, affiliates, associated entities, stockholders, principals, officers, managers, directors, managing directors, members, managing members, managing agents, predecessors, predecessors-in-interest, successors, successors-in- interest, assigns, financial or investment advisors, advisors, consultants, investment bankers, entities providing any fairness opinion, underwriters, brokers, dealers, lenders, commercial bankers, attorneys (including, without limitation, the Officer Defendants’ Counsel and the Outside Director Defendants’ Counsel), personal or legal representatives, accountants, insurers, co-insurers, reinsurers, and associates, of each and all of the foregoing and any entity in which any of individuals or entities set forth or described in (i) and (ii) has a direct financial interest. “Released Defendant Persons” excludes Trimaran and any Person that is or was related or affiliated with Trimaran.​Release of Claims by Settling Defendants: Each of the Settling Defendants and each of their respective heirs, executors, administrators, trusts, trustees, estates, beneficiaries, legatees, insurers, reinsurers, predecessors, successors, and assigns (and assignees of each of the foregoing) shall thereupon fully, finally, and forever release, relinquish, and discharge the Released Defendants’ Claims against the Released Plaintiff Persons.​

Released Defendant Persons means the Company, all current and former directors of the Company, and all Defendants and any of their respective employers, parent entities, controlling persons, principals, affiliates or subsidiaries and each of their respective past or present officers, directors, partners, stockholders, representatives, employees, attorneys, financial or investment advisors, consultants, accountants, investment bankers, commercial bankers, agents, heirs, executors, trustees, personal representatives, estates, administrators, predecessors, successors, assigns, insurers, and reinsurers.

Released Defendant Persons means each and all of the following: (a) the U.S. Directors and each of their respective past and/or present general partners, limited partners, and any Person in which any of these Persons has a Controlling Interest (the “Defendant Releasees”); and (b) each and every one of the Defendant Releasees’ respective past and/or present employees, partners, representatives, agents, consultants, counsel, insurers, reinsurers, families, heirs, executors, trustees, personal representatives, estates, administrators, predecessors, and assigns in their capacities as such. Nothing in this definition of “Released Defendant Persons” is intended to release any claims asserted in the Action by Plaintiffs (or any other Settlement Class Member) against any Non-Settling Defendant.
