Related Transaction Documents definition

Related Transaction Documents means the Loan Documents and all other agreements or instruments executed in connection with the Related Transactions.

• The execution, delivery and performance by each Loan Party of the Loan Documents and the other Related Transaction Documents to which it is a party are within such Loan Party’s organizational powers and have been duly authorized by all necessary organizational and, if required, shareholder, partner or member action.

• The closings under the other Related Transaction Documents shall simultaneously occur with the Closing hereunder.

More Definitions of Related Transaction Documents

Related Transaction Documents means the Purchase Documents and the Revolving Loan Documents.

Related Transaction Documents means the Body Shop Acquisition Documents, and the Equity Documents.

Related Transaction Documents means the Loan Documents, the XCC Transfer Agreement, the Sale and Contribution Agreement, the Contribution Agreement, the Escrow Agreement, the Transition Proceeds Agreement, the Undertaking and Replacement Agreement, the Portfolio Service Contract, the Separateness Agreement, the Indemnification Agreement, the Allocation Agreement, the Tax Administration Agreement, the Program Agreement, the Retained Business Servicing Agreement and all other agreements or instruments executed in connection with the Related Transactions pursuant to the Related Transaction Documents, in each case, as the same may be amended, amended and restated, waived, supplemented or otherwise modified from time to time in accordance with the terms thereof.

Related Transaction Documents means the Credit Documents, Notes Indenture, the 2021 Add-On Notes and all other agreements or instruments executed in connection with the Related Transactions.

Related Transaction Documents means (i) the Loan Documents and the Stock Purchase Agreement; (ii) until such time as the Bridge Notes shall have been refinanced in full, the Bridge Notes and the Securities Purchase Agreement; (iii) until such time as the PIK Notes shall have been refinanced in full, the PIK Notes and (iv) until such time as such agreements, instruments or documents shall have expired or been terminated by their express terms or by mutual agreement of the parties thereto, all other agreements, instruments and documents executed or delivered in connection with the Related Transactions.

Related Transaction Documents means the Loan Documents, the Spin-Off Documents, all other agreements or instruments executed in connection with the Related Transactions and the documents evidencing and related to the GE Mortgage Indebtedness.

Related Transaction Documents means the Loan Documents and all other agreements or instruments executed in connection with the Related Transactions. “Relationship Bank” has the meaning ascribed to it in Section 6.20.
