Examples of Registered Noteholder in a sentence
A Registered Noteholder will not be entitled to any interest or any other payment for any delay after the due date in receiving the amount due as a result of the due date not being a Business Day.
Each Registered Noteholder accepts not to attach or otherwise seize the assets of the Issuer allocated to the Segregated Portfolio or to other segregated portfolios of the Company or the general assets of the Company.
Without prejudice to their right of early redemption in connection with an Event of Default pursuant to Condition 9 ( EVENTS OF DEFAULT), any Registered Noteholder may, prior to the Maturity Date, request the early redemption of all or part of its outstanding Registered Notes on 15th of each calendar year, starting on 15 February 2026 falling after the expiry of the Lock-Up Period (each an Optional Redemption Date).
The notice given by a Registered Noteholder in accordance with this Condition 5.4 shall be irrevocable except where, prior to the Optional Redemption Date, an Event of Default has occurred and is continuing, in which event such Registered Noteholder, at its option, may elect by notice to the Issuer to withdraw the notice given pursuant to this Condition 5.4 and instead to declare the Registered Notes forthwith due and payable pursuant to Condition 9.
For the avoidance of doubt, no Registered Noteholder may initiate proceedings against the Issuer or the Company based on Section 94 of the Companies Law.
