Purchaser Materials definition

Purchaser Materials means any and all items, documents, specifications, plans, drawings, patterns, samples, materials, component parts and equipment from time to time provided to Supplier by the Purchaser in connection with and/or for the purpose of delivery of the Goods and/or Services.

Purchaser Materials means the Purchased Clinical API and other Toll Materials.

• All Purchaser Materials are the exclusive property of the Purchaser.

• The Supplier shall keep the Purchaser Materials in safe custody at its own risk, maintain them in good condition until returned to the Purchaser and not dispose or use the same other than in accordance with the Purchaser’s written instructions or authorisation.

• If the Intellectual Property in the Purchaser Materials does not vest automatically by operation of law or under the Contract, the Supplier shall hold legal title in such Intellectual Property on trust for the Purchaser and to the Purchaser's order.

• The Supplier hereby irrevocably assigns to the Purchaser free from encumbrance and to the fullest extent permitted by law its entire right, title and interest in and to all existing and future Intellectual Property comprised in the Purchaser Materials.

Purchaser Materials means, in relation to Commercial Product, the Commercial API and other Toll Materials provided by Purchaser under this Agreement on a [***] in connection with the Manufacture of Commercial Product (including, in relation to Commercial Product, Commercial API that is Manufactured by GSK and sold to Purchaser under this Agreement).

Purchaser Materials means all materials, equipment and tools, Specifications and data supplied by the Purchaser to the Supplier.

Purchaser Materials means any Specification or other information and materials supplied by the Purchaser to the Supplier; Services means the services (if any) described in the Order; Spares means the Goods and any replacement parts for the same as those Goods and replace- ment parts are to be held in accordance with INCOTERMS means the international rules for the interpretation of trade terms of the Interna- tional Chamber of Commerce, 2020; clauses to 47; Specification includes any plans, drawings, art- work, data (including, without limitation, engi- neering CAD files in whatever media) or other in- formation relating to the Goods or Services; Supplier means the person so described in the Order;

Purchaser Materials means all images, content, data, software and other materials provided by Purchaser or used by Purchaser in connection with this Agreement and not provided by TouchSource hereunder. For the avoidance of doubt, Purchaser Materials does not include any information or data collected directly by the Software.

Purchaser Materials means any property, items or materials, including Purchaser Data, furnished by Purchaser to Supplier for Supplier’s use in the performance of its obligations under this Agreement.

Purchaser Materials means any of Purchaser’s samples and tangible materials including but not limited to those assets set out in Schedule 1 and Bulk Gel and Secondary Packaging Materials provided by the Purchaser to the Supplier for the purpose of filling the Bulk Gel into the Applicators pursuant to this Agreement.
