If at the time of exercise of Purchaser’s option, the Production Budget is not set, then the minimum amount set forth above will be paid to Owner upon exercise of the Option and adjusted as necessary upon commencement of principle photography.
If any of the following Critical Path Deadlines are not met, the Production Schedule and/or Production Budget may be effected.
PTVI will be entitled to receive all revenues generated in the Territory by the Output Programs produced or acquired pursuant to Licensor's 1999 Production Budget, including revenues collected by Licensor prior to the date of the Agreement, net of any amounts actually paid by Licensor or its Affiliates that would have been PTVI's obligation had the Output Programs been acquired by PTVI on January 1, 1999 (such as residuals, music clearance fees, etc.).
If Licensee chooses to pay such license fee, it will obtain the same rights as if that program were an Output Program (except that the budget for that program will not be included under the Production Budget for Output Programs for that year).
If the actual cost of producing the Picture should be less than the Production Budget, Producer shall first re-pay the full sum of such underages to Investor.
