Pre-Funded Warrant Shares definition

Pre-Funded Warrant Shares means the shares of Common Stock issuable upon exercise of the Pre-Funded Warrants.

• As of the date hereof, the Company has reserved and the Company shall continue to reserve and keep available at all times, free of preemptive rights, a sufficient number of shares of Common Stock for the purpose of enabling the Company to issue the Shares pursuant to this Agreement and the Pre-Funded Warrant Shares pursuant to any exercise of the Pre-Funded Warrants.

• The Common Stock (including the Shares and the Pre-Funded Warrant Shares, when issued pursuant to the terms of this Agreement) conforms in all material respects to the description thereof contained in the Prospectus.
