Participant Users definition

Participant Users as to the HIE and CRISP Services, shall mean those health care providers and other employees, staff, professional or medical staff, contracted medical providers, agents or other Workforce members of Participant and Other Participants who have been authorized by Participant or Other Participant to utilize the HIE for Permitted Purposes through Participant’s System or through user interfaces made available by CRISP and who have, at the request of Participant or as otherwise as provided in the Policies and Procedures, been assigned a user name and password by CRISP pursuant to this Agreement. CRISP will establish, through its Policies and Procedures, terms and conditions applicable to Participant Users that are members of the professional staff of those Participants and Other Participants that have organized professional staffs. Participant Users shall only be natural persons and shall not be other legal or operating entities or affiliates or subsidiaries of Participant except as may be provided in the Policies and Procedures. References to Participant will be deemed to include a reference to the Participant’s Participant Users unless the context requires otherwise.

Participant Users may include, but are not limited to, Health Care Providers; Health Plans; individuals whose health information is contained within, or available through, a Participant’s System; and employees, contractors, or agents of a Participant.   • In addition, Participant will have policies and procedures which require that Participant Users limit their uses and disclosures of CRISP’s Confidential Information through Participant’s System and/or any portal provided in connection with the HIE in accordance with a Use Case, which shall be consistent with the provisions of Section 165 of this Agreement as to Confidential Information received pursuant to the Agreement (“Confidentiality Policies”).

  • Participant agrees that notices provided to Participant will be effective as to Participant Users and that Participant will secure Participant Users agreement to the foregoing.

  • Participant and Participant Users shall be solely responsible for their use of CRISP Services and Data sent or received via CRISP Services and maintaining patient medical records, as applicable, in accordance with Applicable Law.

  • Participant Users are not considered Agents or Subcontractors for the purposes of this Section 15.02 but are subject to the other requirements specified in this Agreement, including Sections 76 and Section 154.3.

  • Participant shall require that all of its Participant Users comply with the applicable requirements of this Agreement and Applicable Law and shall promptly take appropriate action in the event that Participant knows, or reasonably should have known, of a violation of the Agreement by a Participant User.

  • Notice to Participant shall conclusively constitute notice to all Participant Users.

  • Nothing herein shall be construed to (a) limit the Participant’s ability to contractually allocate liability as among the Participant itself and its Participant Users, CRISP, Exchange Technology Providers and/or other subcontractors of the parties, or (b) waive any rights or defenses available under Applicable Law in any action that may arise in connection with the Agreement.

  • A termination of an individual Use Case or of an individual Payer or Program will not terminate the Participation Agreement or any other Use Case.19.03remove Participant from the Participant Index, Provider Directory, and the Physician Address Book and terminate Participant’s and Participant’s Participant Users ability to access and use the HIE or the CRISP Services (except a right to access and use the HEI and/or CRISP Services through a different Participant, if any).

  • Participant is responsible for establishing a means to inform its Participant Users of notices, changes, information and restrictions applicable to the HIE under this Agreement.

  • Participant will use the HIE, and will require that its Participant Users use the HIE, only for applicable Permitted Purposes in accordance with state and federal law and approved use cases, which will be specified and further defined from time-to- time in the Policies and Procedures, consistent with Section 3.02.

Related to Participant Users

  • Participant ID means each unique identifier assigned to a Participant other than a DMA Customer by BSEF for access to the SEF operated by BSEF.

  • Participant Group means you, each of your holding companies and subsidiaries and each subsidiary of each of your holding companies (as each such term is defined in the Companies Act 1985); and

  • Program participant means an individual certified by the secretary as a program participant under Iowa Code section 9E.3.

  • Clearing Participant means a person admitted as a participant under the Clearing Rules.
