Nothing herein shall entitle Xxxxx Xxxxx or the Parent Borrower to a consent to, or a waiver, extension, amendment, modification or other change of, any of the terms, conditions, obligations, covenants or agreements contained in the Credit Agreement, the Holdco Guaranty Agreement or any agreement or document relating thereto in any similar or different circumstances.
Parent, Borrower and the Guarantors are collectively referred to herein as the “Opinion Entities” and each an “Opinion Entity”.
Notwithstanding anything to the contrary in Section 2.14 of the Credit Agreement, the Extension shall be deemed to have been effected pursuant to Section 2.14 of the Credit Agreement and, after giving effect to this Amendment, the Parent Borrower shall have the right to request additional one-year extensions of the Scheduled Maturity Date up to an additional three times pursuant to, and in accordance with, Section 2.14 of the Amended Credit Agreement.
Xxxxx Xxxxx and the Parent Borrower agree to reimburse the Administrative Agent for its reasonable and documented out-of-pocket expenses incurred by it in connection with this Waiver, including the reasonable fees, charges and disbursements of Cravath, Swaine & Xxxxx LLP, counsel for the Administrative Agent.
At or prior to 7:30 a.m. (New York City time) on the first Business Day following the date of this Amendment, the Canadian Parent Borrower shall issue a news release that is widely disseminated in Canada, and, within the time required by applicable Canadian Securities Laws (but in no event later than five (5) Business Days after the date of this Amendment), the Canadian Parent Borrower shall file a Material Change Report under Canadian Securities Laws.
