Pacific Time means Pacific Standard Time or Pacific Daylight Savings Time, whichever is then applicable in Los Angeles, California on the date in question; (d) except as otherwise expressly provided herein, the term “discretion” means reasonable discretion; (e) the term “material default” as used in Sections 2.2.1(b) and (c) means a failure to perform all acts required of a party that are necessary to cause or permit the Closing to occur or a default that would materially interfere with the Closing or have an adverse impact on the other party in excess of $100,000; and (f) the term “material covenant” as used in Sections 7.1.4 and 7.2.3 means any act required of a party that is necessary to cause or permit the Closing to occur or any required act, the omission of which would materially interfere with the Closing.
