Original Offer definition

Original Offer means the pre-conditional cash offer by Comcast for the entire issued and to be issued share capital of Sky at £12.50 per Sky Share; and

Original Offer has the meaning set out in the recitals to this Agreement;

Original Offer has the meaning specified in Section 5.01(k)(x).

Examples of Original Offer in a sentence

• The Original Offer and Circular and Letter of Transmittal shall be read together with this Notice of Extension and Variation and are hereby amended to the extent necessary in order to give effect to the amendments contemplated by, and the information contained in, this Notice of Extension and Variation.

• The Original Offer shall be sealed in an envelope with the vendor’s name and the RFP number on the outside and marked, ‘Master’.

More Definitions of Original Offer

Original Offer as defined in subsection 6.8(i).

Original Offer means the offer dated October 5, 2015, as amended and varied by the notice of change and variation of Suncor dated November 12, 2015, the notice of extension of Suncor dated December 3, 2015 and the notice of extension dated January 8, 2016, by Suncor to acquire all of the issued and outstanding COS Shares (together with the associated rights issued pursuant to the COS 2013 Rights Plan and the COS 2015 Rights Plan) at a price of 0.25 of a Suncor Share for each COS Share;

Original Offer has the meaning set out in the first recital;

Original Offer means and refer to a bona fide written offer to purchase all of the stock or substantially all assets of only the Company (and no other Affiliate or Associate of the Company, SAG, or Sub) received by SAG or SAG's Affiliates or Associates during the ROFR Period from any person setting forth in detail the true and complete terms and conditions of such offer. The Parties expressly acknowledge and understand that the ROFR shall apply only to an offer which proposes to acquire only the Company (i.e. the single dealership known as of the date hereof as Day's Chevrolet, Inc.) and the Stockholders shall not have a ROFR with respect to any offer that proposes to acquire any or all stock or any or all assets of the Company as part of a larger acquisition that includes any other Affiliates, Associates or related entities of SAG.

Original Offer means either the Original Share Offer or the Original Debenture Offer, as the case may be;

Original Offer means the offer for all of the Shares of Target filed by the Company on the Announcement Date, as amended pursuant to the Increased Offer (and as may be further amended in accordance with Clause 21.8 (Offer) and includes any other increased offer (surenchere) made in accordance with such Clause 21.8 (Offer)).

Original Offer means the recommended offer to acquire the entire issued and to be issued share capital of Darty, as set out in the Original Offer Announcement;
