New York Fed s Website" means the website of the Federal Reserve Bank of New York currently at http://www.newyorkfed.org, or any successor website officially designated by the Federal Reserve Bank of New York (any information on the New York Fed's website or any successor website does not form part of the Base Prospectus and has not been scrutinised or approved by the competent authority unless incorporated by reference into the Base Prospectus);

New York Fed means the Federal Reserve Bank of New York. Any change in the ABR due to a change in the Prime Rate, the Federal Funds Effective Rate or the Eurocurrency Rate shall be effective as of the opening of business on the effective day of such change in the Prime Rate, the Federal Funds Effective Rate or the Eurocurrency Rate, respectively. If the Administrative Agent shall have determined (which determination shall be conclusive absent manifest error) that it is unable to ascertain the Federal Funds Effective Rate or the Eurocurrency Rate for any reason, including the inability or failure of the Administrative Agent to obtain sufficient quotations in accordance with the terms of the definition thereof, the ABR shall be determined without regard to clause (b) or (c) above, as the case may be, of the first sentence hereof until the circumstances giving rise to such inability no longer exist.
