New Jersey Commission definition

New Jersey Commission means the New Jersey Casino Control Commission.

"Officers' Certificate" means, with respect to any Person, a certificate signed by an Authorized Officer (other than the treasurer) and by the treasurer, an assistant treasurer, the secretary or an assistant secretary of such Person. "144A Global Note" means a global note substantially in the form of Exhibit A hereto bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of, and registered in the name of, the Depositary or its nominee that will be issued in a denomination equal to the outstanding principal amount of the Notes sold in reliance on Rule 144A. "Opinion of Counsel" means a written opinion (which may be subject to customary assumptions, qualifications and exceptions) from legal counsel who is reasonably acceptable to the Trustee. The counsel may be an employee of or counsel to the Company or the Trustee.
