Material Location definition

Material Location has the meaning ascribed to it in Section 5.8.
Material Location means (a) any of the premises described on Schedule 5.13 and (b) any other premises not owned by a Borrowing Base Party at which Collateral having an aggregate fair market value (as reasonably determined by the Agent) in excess of $1,000,000 is at any time located.
Material Location means any office, place of business or facility owned or leased by the Borrower or any Subsidiary, excluding leased or other nonowned locations or places of business (i) at which no books and records are maintained with respect to the accounts receivable of Borrower or any Subsidiary and at which no payment for any such account receivable is received or collected, and (ii) at which the property of the Borrower or its Subsidiaries owned or leased and located thereon does not exceed $5,000.

More Definitions of Material Location

Material Location means (i) any leased location that is the corporate headquarter of a Loan Party, and (ii) any other leased location or bailee location where assets having a fair market value in excess of $2,000,000 are located.
Material Location means (a) any location listed on Schedule M-1, and (b) any other location (i) which is used for processing data (such as a data center or a regional center or satellite center) or (ii) has Inventory or Equipment with an aggregate value in excess of $50,000.

Related to Material Location

  • Business location means a location where the firm carries out an activity that requires registration, and includes a residence if regular and ongoing activity that requires registration is carried out from the residence or if records relating to an activity that requires registration are kept at the residence;

  • Co-location means the use of an existing tower or structure to support antennae for the provision of wireless services. A replacement tower that is constructed on the same site as an existing tower will be considered a co-location as long as the new tower is no taller than the old tower and that the old tower is removed in a reasonable short time frame after the new tower is constructed.

  • Retail location means a facility listed under NFPA 1124, 7.1.2.

  • Project Location means the points or areas designated as such on Exhibit A and located on the ground by reference to points, stations, natural land features, improvements, or area boundary signs. STATE means the Oregon Department of Forestry, State Forester, or a duly Authorized Representative of the State Forester.

  • SITE / LOCATION means any Site where BHARAT PETROLEUM CORPORATION LTD. desires to receive materials any where in India as mentioned in RFQ.

  • Approved Location means (a) a storage terminal or facility located in the United States or Canada owned by the Borrower or a Subsidiary; or (b) other storage location located in the United States or Canada identified by the Borrower by notice to the Administrative Agent for which, if requested by the Administrative Agent, the Borrower has used commercially reasonable efforts to cause the owner, operator or landlord thereof to execute and deliver, a waiver of lien, subordination agreement or similar agreement in form and substance reasonably acceptable to the Administrative Agent with respect to any inventories of Petroleum Products stored at such terminal or facility.

  • Locations mean one or more of the healthcare or other facilities owned by the Borrower on the Property as identified on Schedule 1.1(a) hereto.

  • Material Real Property means any fee owned Real Property located in the United States that is owned by any Loan Party with a fair market value in excess of $10,000,000 (at the Closing Date or, with respect to Real Property acquired after the Closing Date, at the time of acquisition, in each case, as reasonably estimated by the Borrower in good faith).

  • Location as used in the Economic Load Response rules shall mean an end-use customer site as defined by the relevant electric distribution company account number. Locational Deliverability Area (LDA):

  • Off-Site Location means any real property other than the Real Property.

  • Material Equipment means such equipment, which, acting in accordance with a Reasonable and Prudent Standard, the Generator could reasonably be expected to have ordered and/or concluded a supply agreement in respect of in accordance with the Target Commissioning Date, and in any event, such equipment shall include the major scheme components.

  • State Location means any physical location where the State performs work. State Location may include state-owned, leased, or rented space.

  • Closing Location means the location that all Proposals for this RFP will be accepted at.

  • Work Locations means any real estate that Windstream owns, leases or licenses or in which it holds easements or other rights to use, or does use, in connection with this Agreement.

  • Material Properties means (a) those Mortgaged Properties designated on Schedule 3.12 as Material Properties and (b) each other Mortgaged Property with respect to which a Mortgage is granted pursuant to Section 5.11 after the Restatement Effective Date.

  • Material Property means all Real Property owned in fee in the United States by any Credit Party, in each case, with a fair market value of $7,425,000 (as determined by the Borrower in good faith) or more, as determined (i) with respect to any Real Property owned by any Credit Party on the Closing Date, as of the Closing Date, and (ii) with respect to any Real Property acquired by a Credit Party after the Closing Date, as of the date of such acquisition.

  • Material Leased Real Property shall have the meaning given in Section 3.7(b).

  • Material Deviation refers to any contents or characteristics of the proposal that is significantly different from an essential aspect or requirement of the RFP, and : (i) substantially alters the scope and quality of the requirements; (ii) limits the rights of UNDP and/or the obligations of the offeror; and (iii) adversely impacts the fairness and principles of the procurement process, such as those that compromise the competitive position of other offerors.

  • Material Owned Real Property means any Real Property, or group of related tracts of Real Property, acquired (whether in a single transaction or a series of transactions) or owned in fee by any Loan Party, in each case, in respect of which the fair market value (including the fair market value of improvements owned or leased by such Loan Party and located thereon) on such date of determination exceeds $1,000,000.

  • Material Customers has the meaning set forth in Section 3.15(a).
